- Acceptance: This Purchase Order shall become binding upon written acceptance by the Seller (Mechanic service provider) within seven (7) calendar days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.
- Performance Period: All services described herein shall be executed within a period of twelve (12) months commencing from 01 July 2025. The Mechanic team shall maintain a minimum operational presence at the Buyer's designated depot in Okhla Industrial Estate, New Delhi, India, during standard business hours (08:00 to 18:00 IST, Monday through Saturday).
- Quality Standards: The Mechanic and all subordinate technicians engaged under this Purchase Order must hold valid certifications issued by the National Skill Development Corporation (NSDC) of India or equivalent recognised body. All work shall conform to the manufacturer's service manual specifications and the Bureau of Indian Standards (BIS) guidelines for automotive repair.
- Payment Schedule: Payment shall be made within thirty (30) days of receipt of a valid tax invoice from the Seller. Invoices must be submitted to the Buyer's accounts department in New Delhi, India, and must include the Seller's GSTIN, a detailed breakdown of Mechanic labour hours, and itemised spare parts with part numbers.
- Warranty: All repair work performed by the Mechanic team under this Purchase Order carries a minimum warranty of ninety (90) days or 5,000 kilometres (whichever is earlier). Any defect arising within the warranty period shall be rectified at no additional cost to the Buyer.
- Compliance with Indian Law: Both parties acknowledge that this Purchase Order is governed by the laws of India, specifically the Indian Contract Act, 1872, and the Consumer Protection Act, 2019. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
- Insurance and Liability: The Seller (Mechanic provider) shall maintain comprehensive professional indemnity insurance of not less than INR 50,00,000 (Fifty Lakh Rupees) for the duration of this Purchase Order. The Seller shall be liable for any damage to the Buyer's vehicles caused by negligence of the Mechanic or any member of the service team.
- Confidentiality: The Seller shall treat all fleet data, vehicle records, and operational information of the Buyer as strictly confidential. This obligation shall survive the termination or expiry of this Purchase Order for a period of two (2) years.
- Termination: Either party may terminate this Purchase Order by providing thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect any accrued rights or obligations, including outstanding payment for Mechanic services already rendered.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government-imposed lockdowns in New Delhi, India, or acts of war, provided that the affected party notifies the other within forty-eight (48) hours.
All services under this Purchase Order shall be executed at the Buyer's primary fleet depot located at Plot No. 42, Okhla Industrial Estate Phase II, New Delhi, India, PIN 110020. Emergency Mechanic call-outs shall be dispatched to any location within the municipal boundaries of New Delhi, India, within a maximum response time of two (2) hours from the time of the service request. The Seller's secondary workshop at 18-B, Karol Bagh Main Market Road, New Delhi, India, may be used for specialised heavy-duty repairs as directed by the Buyer's fleet manager.
