1. Purchase Order Summary
This Purchase Order is issued by Tigris Automotive Fleet Management Co. to formally request and authorize the procurement of professional Mechanic services for the maintenance, repair, and operational readiness of a fleet of 45 commercial vehicles currently stationed in Iraq Baghdad. This Purchase Order constitutes a binding agreement between both parties and shall be governed by the commercial laws of the Republic of Iraq. The scope of work defined herein pertains exclusively to qualified Mechanic labor, diagnostic services, and associated parts procurement to be performed at the designated workshop facility located in the Al-Mansour district of Baghdad, Iraq.
2. Scope of Work – Mechanic Services
The contracted Mechanic team, led by Mr. Hassan Al-Dabbas and comprising a minimum of six (6) certified automotive technicians, shall provide the following services to the fleet vehicles in Iraq Baghdad:
- Comprehensive engine diagnostics, overhaul, and replacement of worn components for all 45 vehicles.
- Transmission inspection, fluid replacement, and gearbox repair as required by the Mechanic's assessment.
- Brake system servicing, including disc replacement, caliper rebuilding, and hydraulic line inspection.
- Suspension and steering alignment, shock absorber replacement, and wheel bearing service.
- Electrical system troubleshooting, alternator and starter motor repair, and wiring harness inspection.
- Preventive maintenance schedules including oil changes, filter replacements, and coolant system flushing.
- Emergency roadside Mechanic support available 24/7 within the Baghdad metropolitan area.

4. Delivery and Performance Location
All Mechanic services under this Purchase Order shall be performed at the Euphrates Mechanic & Auto Services LLC workshop located at 88 Al-Jadriya Street, Baghdad, Iraq, or at the Tigris Automotive Fleet Management Co. depot in the Al-Mansour Industrial Zone, Baghdad, Iraq, as directed by the Purchasing Party. The Mechanic team shall ensure that all work is completed in accordance with the manufacturer's specifications and Iraqi Ministry of Transport vehicle safety standards. No service shall be deemed complete until the Lead Mechanic has signed off on the vehicle inspection report and the Purchasing Party's representative has verified the workmanship.
5. Payment Terms
- Payment shall be made in Iraqi Dinar (IQD) via bank transfer to the account of Euphrates Mechanic & Auto Services LLC at the Central Bank of Iraq, Baghdad branch.
- A 30% advance payment (IQD 84,915,000) shall be due within seven (7) business days of the acceptance of this Purchase Order.
- 40% of the total (IQD 113,220,000) shall be payable upon completion of 50% of the Mechanic services and verified sign-off by the Purchasing Party.
- The remaining 30% (IQD 84,915,000) shall be due within fourteen (14) days of full completion and final acceptance of all services.
- Any late payment shall incur a penalty of 1.5% per month on the outstanding balance, calculated from the due date.
6. Terms and Conditions
- This Purchase Order is valid for a period of ninety (90) days from the date of issue. Failure to execute within this period shall render the Purchase Order null and void.
- The Mechanic service provider warrants that all parts used in repairs shall be genuine or OEM-equivalent, with a minimum twelve (12) month warranty on parts and six (6) months on labor.
- The Mechanic team shall comply with all occupational health and safety regulations as mandated by the Iraqi Ministry of Labor for workshops operating in Baghdad.
- Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Purchasing Party shall pay for all Mechanic services completed up to the termination date.
- All disputes arising from this Purchase Order shall be resolved through arbitration in Baghdad, Iraq, in accordance with the Iraqi Arbitration Law. The governing language of this Purchase Order shall be English, with an Arabic translation available upon request.
- The Mechanic service provider shall maintain comprehensive liability insurance covering a minimum of IQD 500,000,000 for any damage to vehicles or property during the course of service delivery in Iraq Baghdad.
- Confidentiality: Both parties agree to keep all technical data, fleet information, and commercial terms contained in this Purchase Order strictly confidential and shall not disclose them to third parties without written consent.
