This Purchase Order is issued by Rome Automotive Fleet Management S.r.l. (hereinafter referred to as the "Purchasing Party") to Officina Meccanica Roma Centro S.n.c. (hereinafter referred to as the "Mechanic Service Provider") for the provision of comprehensive mechanic services, preventive maintenance, diagnostic work, and emergency repair operations for a fleet of 24 commercial vehicles currently registered and operating within the metropolitan area of Rome, Italy. The Mechanic Service Provider shall perform all work in accordance with the technical standards established by the Italian Ministry of Transport (Ministero delle Infrastrutture e dei Trasporti) and in full compliance with the regulations governing automotive workshops in the Lazio region.

The Mechanic engaged under this Purchase Order must hold a valid qualification recognized by the Italian National Qualifications Framework (NQF) and must be registered with the relevant professional body. All mechanic work performed in Rome under this agreement shall be documented with official service reports issued in both Italian and English, as required by the Purchasing Party's international reporting obligations.

5.1 Service Location: All mechanic services under this Purchase Order shall be performed at the Mechanic Service Provider's workshop located in Rome, Italy, or at the Purchasing Party's designated depot in Rome, unless otherwise agreed in writing. Emergency call-out services shall be available throughout the entire Rome metropolitan area, including the surrounding municipalities of the Province of Rome (Provincia di Roma).

5.2 Mechanic Qualifications: The Mechanic Service Provider warrants that all technicians assigned to this contract hold valid Italian professional certifications for automotive repair and maintenance. The lead Mechanic, Ing. Marco De Santis, shall personally oversee all critical repairs and sign off on final service documentation. No subcontracting of mechanic work is permitted without prior written consent from the Purchasing Party.

5.3 Compliance with Italian Law: All work shall comply with the Italian Civil Code (Codice Civile), the Italian Consumer Code (Codice del Consumo) where applicable, and the specific regulations of the Lazio Region regarding automotive workshops. The Mechanic Service Provider shall maintain all required insurance policies, including professional liability insurance with a minimum coverage of EUR 1,000,000 per incident.

5.4 Delivery and Scheduling: The Mechanic Service Provider shall complete all scheduled maintenance within the timeframe agreed upon in the service calendar. Vehicles shall be returned to the Purchasing Party in Rome in full working order, accompanied by a detailed mechanic service report in Italian and English.

5.5 Payment: Payment shall be made via bank transfer (bonifico bancario) to the Mechanic Service Provider's designated Italian bank account within 30 days of receipt of a valid invoice (fattura elettronica) issued in accordance with Italian electronic invoicing regulations (SdI — Sistema di Interscambio).

5.6 Warranty: All mechanic work and parts supplied under this Purchase Order carry a minimum warranty of 12 months or 20,000 kilometres, whichever occurs first, in accordance with Italian statutory warranty provisions (garanzia legale).

5.7 Termination: Either party may terminate this Purchase Order with 30 days' written notice. In the event of termination, the Mechanic Service Provider shall complete all work already commenced and issue a final invoice for services rendered up to the termination date.

This Purchase Order is authorised and binding upon signature by both parties. By signing below, the Mechanic Service Provider acknowledges receipt of this Purchase Order and agrees to perform all mechanic services as specified herein in Rome, Italy, under the terms and conditions set forth above.
