This Purchase Order is issued by Atlas Logistics & Fleet Management SARL to engage the services of the above-named Mechanic and workshop for the comprehensive maintenance, repair, and parts procurement of our commercial vehicle fleet operating in and around Morocco Casablanca. The Mechanic and his team shall perform all work in accordance with the manufacturer specifications and applicable Moroccan road safety regulations (Code de la Route, Dahir n° 1-02-374).

1. Acceptance: This Purchase Order constitutes a binding agreement upon written acceptance by the Mechanic / vendor. The vendor shall sign and return a copy of this Purchase Order within five (5) business days of receipt.
2. Performance Period: All services and deliveries referenced in this Purchase Order shall be completed no later than 30 July 2025. The Mechanic shall provide a written progress report every ten (10) business days.
3. Quality Standards: All work performed by the Mechanic and his team shall comply with the original equipment manufacturer (OEM) specifications and the Moroccan Directorate General of Roads (DGR) maintenance standards. All replaced parts must be new, genuine, or OEM-equivalent, and shall carry a minimum twelve (12) month warranty from the date of installation.
4. Delivery and Location: All parts and materials shall be delivered to the Atlas Logistics depot located at Zone Franche, Casablanca, Morocco. On-site vehicle servicing shall take place at the Mechanic's workshop at Route de Nouaceur, Casablanca, or at the client's Casablanca premises as mutually agreed in writing.
5. Payment: Payment shall be made by bank transfer to the vendor's account within thirty (30) calendar days of receipt of a valid tax invoice (facture) conforming to Moroccan tax regulations (CGI). The invoice must reference this Purchase Order number (PO-2025-CAS-00472).
6. Warranty and Defects: The Mechanic warrants that all labour and parts shall be free from defects in workmanship and material for a period of twelve (12) months. Any defect discovered within this period shall be remedied at no additional cost to the buyer.
7. Compliance with Moroccan Law: This Purchase Order is governed by the laws of the Kingdom of Morocco. Any dispute arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Casablanca.
8. Health, Safety, and Environment: The Mechanic and all personnel working under this Purchase Order shall comply with Moroccan occupational health and safety regulations (Code du Travail, Loi n° 65-99) and environmental disposal requirements for used oils, fluids, and hazardous waste as enforced by the Ministry of Energy, Mines, Water and Environment in Casablanca.
9. Confidentiality: The vendor shall treat all fleet data, vehicle identification numbers, and operational information as confidential and shall not disclose such information to third parties without prior written consent.
10. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated closures, or transport disruptions affecting the Casablanca region.

This Purchase Order (PO-2025-CAS-00472) is issued in two (2) original copies, one for each party. It is valid only for the services and parts described herein and for the delivery location in Morocco Casablanca. Any modification to this Purchase Order must be made in writing and signed by both parties. This document does not constitute a contract until countersigned by the vendor. All prices are in Moroccan Dirhams (MAD) and include applicable Moroccan taxes unless otherwise stated.
