3. Scope of Purchase — Mechanic Services and Parts

This Purchase Order is issued by Golden Pagoda Fleet Management Co., Ltd. to procure comprehensive mechanic services, replacement parts, and scheduled maintenance for a fleet of 12 commercial vehicles operating within the Yangon metropolitan area, Myanmar. The selected mechanic workshop, Shwe Mechanic Auto Service & Repair Centre, has been evaluated and approved based on its demonstrated expertise in diesel engine overhauls, hydraulic system repairs, and preventive maintenance protocols suited to the tropical climate and road conditions prevalent in Yangon.

4. Payment Terms
  1. Payment shall be made in Myanmar Kyat (MMK) via bank transfer to the supplier's account at CB Bank, Yangon Branch, within 30 days of receipt of the completed mechanic service invoice and signed workmanship certificate.
  2. A 10% advance payment (MMK 5,326,000) shall be released upon execution of this Purchase Order to cover initial parts procurement by the mechanic workshop.
  3. Remaining balance shall be settled in two equal installments: 50% upon completion of all engine overhaul and transmission work, and 50% upon successful completion of the final preventive maintenance cycle.
  4. All applicable Myanmar Goods and Services Tax (GST) at the prevailing rate of 5% shall be calculated and itemized on the supplier's invoice.
5. Delivery, Performance & Acceptance
  1. All mechanic services shall be performed at the Shwe Mechanic workshop in Hlaing Township, Yangon, unless otherwise directed in writing by the Buyer's Procurement Manager.
  2. The supplier shall complete all engine overhaul and transmission work within 45 calendar days from the date of this Purchase Order. Preventive maintenance sessions shall be conducted on the bi-monthly schedule agreed upon in the service annex.
  3. Each completed mechanic service shall be accompanied by a detailed work report signed by the responsible mechanic, listing all parts replaced, diagnostic findings, and recommended follow-up actions.
  4. The Buyer reserves the right to inspect workmanship at any stage. Defective work shall be rectified by the mechanic at no additional cost within 7 working days.
  5. All replacement parts must be genuine or OEM-equivalent. Counterfeit parts discovered during acceptance inspection shall result in immediate rejection and a 15% penalty on the affected line item.
6. General Terms & Conditions
  1. This Purchase Order is governed by the laws of the Republic of the Union of Myanmar, including the Myanmar Contract Law and applicable regulations of the Yangon City Development Committee.
  2. The supplier warrants that all mechanic personnel assigned to this contract hold valid trade licenses issued by the Myanmar Department of Technical Education and possess a minimum of five (5) years of hands-on experience in commercial vehicle repair.
  3. Confidentiality: The supplier shall not disclose the Buyer's fleet specifications, operational routes within Yangon, or commercial data to any third party without prior written consent.
  4. Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-mandated closures, or civil unrest affecting the Yangon region, provided written notice is given within 48 hours.
  5. Disputes arising from this Purchase Order shall first be resolved through amicable negotiation. If unresolved within 30 days, the matter shall be referred to the Yangon District Court for adjudication.
  6. This Purchase Order remains valid for a period of twelve (12) months from the date of issue, after which it may be renewed by mutual written agreement of both parties.
Important Notice: This Purchase Order document is issued in the English language for business purposes in Myanmar Yangon. In the event of any discrepancy between this English version and any Burmese-language translation, the English version shall prevail. All mechanic service deliverables must comply with the Myanmar Vehicle Inspection and Registration Act (2014) and the Yangon Road Traffic Safety Regulations.
