This Purchase Order is issued by Manila Fleet Operations Corporation (hereinafter referred to as the "Buyer") to Rizal Auto Mechanic & Repair Services Inc. (hereinafter referred to as the "Mechanic" or "Supplier") for the procurement of comprehensive mechanic services, automotive parts, and maintenance labor for the Buyer's commercial vehicle fleet operating within the Philippines Manila metropolitan area. This Purchase Order governs all terms, conditions, deliverables, and payment obligations between the two parties for the specified period and scope of work.

All prices are quoted in Philippine Pesos (PHP). Payment shall be made via bank transfer to the Mechanic's designated account at BDO Unibank, Philippines Manila branch, within thirty (30) calendar days from the date of the approved invoice.

4.1 Scope of Mechanic Work: The Mechanic shall perform all services listed in Section 2 using qualified, licensed automotive technicians. All mechanic labor must comply with the standards set by the Department of Transportation and Communications (DOTr) and the Land Transportation Office (LTO) of the Philippines Manila region. The Mechanic guarantees that all parts used shall be genuine OEM or approved aftermarket equivalents.

4.2 Delivery and Service Location: All mechanic services shall be performed at the Mechanic's workshop located in Mandaluyong City, Philippines Manila, or at the Buyer's designated depot at 1288 Ayala Avenue, Makati City, Philippines Manila, as mutually agreed upon per work order. Mobile mechanic service units may be dispatched to the Buyer's facilities within the Philippines Manila metro area upon 48-hour prior notice.

4.3 Warranty: The Mechanic provides a minimum warranty of six (6) months or 20,000 kilometers (whichever comes first) on all labor and parts supplied under this Purchase Order. Any defects arising from the mechanic's workmanship or faulty parts shall be remedied at no additional cost to the Buyer.

4.4 Compliance and Licensing: The Mechanic warrants that it holds a valid Business Permit, BOC Registration, and all necessary trade licenses from the City of Mandaluyong, Philippines Manila. All mechanic technicians assigned to this Purchase Order must possess valid PRC (Professional Regulation Commission) licenses or equivalent trade certifications recognized in the Philippines.

4.5 Cancellation and Modification: Either party may cancel or modify this Purchase Order in writing with a minimum of fourteen (14) days' prior notice. Cancellation after the Mechanic has commenced work shall be subject to a 15% penalty on the value of completed services.

4.6 Dispute Resolution: Any disputes arising from this Purchase Order shall first be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be submitted to arbitration under the rules of the Philippine Dispute Resolution Center, Inc. (PDRCI), Philippines Manila. The prevailing jurisdiction is the courts of the Philippines Manila region.

4.7 Force Majeure: Neither party shall be liable for delays caused by natural disasters, government-mandated closures, or other events beyond reasonable control, as commonly recognized under Philippine law.

This Purchase Order becomes effective upon signature by both parties. The Mechanic acknowledges receipt of this Purchase Order and agrees to fulfill all obligations herein. The Buyer reserves the right to conduct quality inspections at any stage of the mechanic service delivery.
