1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Spain, specifically the Civil Code of Catalonia and the applicable commercial regulations of Barcelona. 2. Scope of Mechanic Work: All mechanic services described herein shall be performed by qualified and certified automotive mechanics registered with the Spanish Ministry of Industry, Trade and Tourism. Each mechanic assigned to this Purchase Order must hold a valid professional qualification (Técnico Superior en Mantenimiento de Vehículos or equivalent) and be physically present at the designated Barcelona workshop or service location.
3. Delivery & Performance Location: All parts, equipment, and mechanic labour under this Purchase Order shall be delivered and executed at the buyer's premises located in Barcelona, Catalonia, Spain, or at such other locations within the Barcelona metropolitan area as mutually agreed in writing.
4. Quality Standards: The mechanic services and all replacement parts must comply with ISO 9001:2015 quality management standards and all applicable Spanish and European automotive regulations (including UNECE regulations and EU Type Approval requirements).
5. Warranty: The supplier warrants that all mechanic work performed under this Purchase Order shall carry a minimum 12-month / 20,000-kilometre warranty, whichever comes first, in accordance with Spanish consumer protection law (Ley General para la Defensa de los Consumidores y Usuarios).
6. Payment: Payment of the full Purchase Order amount of €132,434.50 (including 21% Spanish VAT) shall be made via bank transfer to the supplier's account within 30 calendar days of receipt of a valid invoice.
