1. SCOPE OF PURCHASE ORDER – MECHANIC SERVICES AND PARTS

This Purchase Order is issued by Al-Nile Automotive Services & Mechanical Workshop, a registered entity operating in Khartoum, Sudan, to procure the services of a qualified mechanic and the supply of associated mechanical components for the maintenance and repair of our fleet of commercial vehicles. The mechanic engaged under this Purchase Order shall be a certified professional with a minimum of ten (10) years of experience in heavy-duty diesel engine repair, hydraulic system servicing, and transmission overhaul, as is standard practice for automotive workshops operating in the Sudan Khartoum industrial corridor. All work shall be performed at the supplier's workshop facility located in North Khartoum, Sudan, or at our premises in Omdurman, Khartoum, as mutually agreed upon in writing prior to commencement of work.

3. TERMS AND CONDITIONS
  1. Applicability: This Purchase Order shall be governed by and construed in accordance with the laws of the Republic of the Sudan, specifically the Commercial Transactions Act and the Consumer Protection Regulations applicable in Khartoum. Any disputes arising from this Purchase Order relating to the mechanic services or parts supplied shall be resolved through the Khartoum Commercial Arbitration Centre.
  2. Mechanic Qualification: The supplier shall ensure that the mechanic assigned to perform all services listed herein holds a valid Sudanese National Trade Licence for automotive mechanical work, issued by the Khartoum State Ministry of Commerce and Industry. The mechanic must present a valid professional identification card at the commencement of work. A copy of the licence shall be attached to the final invoice.
  3. Parts Authenticity: All mechanical components supplied under this Purchase Order must be genuine or OEM-equivalent parts. The supplier warrants that no counterfeit or substandard parts shall be installed. The buyer reserves the right to inspect and reject any part that does not meet the specifications agreed upon for the Sudan Khartoum market.
  4. Warranty: The mechanic's labour is warranted for a period of ninety (90) calendar days from the date of completion. All replacement parts carry a minimum warranty of twelve (12) months or 20,000 kilometres, whichever occurs first, in accordance with Sudanese consumer protection standards.
  5. Delivery and Location: All services shall be rendered at the supplier's workshop in North Khartoum, Sudan, unless otherwise directed in writing. The buyer's vehicles shall be transported to and from the workshop at the buyer's expense. The mechanic shall provide a written progress report every forty-eight (48) hours until the work is completed.
  6. Payment: Payment of the total amount of 493,350 Sudanese Pounds shall be made within thirty (30) calendar days of receipt of a valid tax invoice and a signed completion certificate from the buyer's fleet supervisor. Payment shall be made via bank transfer to the supplier's account at the National Bank of Sudan, Khartoum branch. No cash payments are permitted under this Purchase Order.
  7. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to flooding of the Nile in Khartoum, government-mandated curfews, fuel supply disruptions common in the Sudan Khartoum region, or civil unrest. The affected party shall notify the other in writing within five (5) business days.
  8. Health, Safety, and Environment: The mechanic and all workshop personnel shall comply with the Occupational Health and Safety Regulations of the Sudanese Ministry of Labour. Proper disposal of used engine oil, hydraulic fluid, and battery acid shall be conducted in accordance with Khartoum Environmental Protection Authority guidelines.
  9. Confidentiality: The supplier and the assigned mechanic shall treat all vehicle data, fleet operational records, and commercial information of the buyer as strictly confidential. This obligation survives the termination of this Purchase Order for a period of two (2) years.
  10. Amendments: Any modification to the scope, pricing, or timeline of this Purchase Order must be documented in a written amendment signed by both parties. Verbal instructions to the mechanic do not constitute a valid change order.
NOTE: This Purchase Order is valid for a period of sixty (60) days from the date of issue. If the mechanic services are not commenced within this period, this document shall be considered lapsed and a new Purchase Order must be issued. All references to "Sudan Khartoum" in this document refer to the Greater Khartoum metropolitan area, including Omdurman and North Khartoum, as defined by the Sudanese National Bureau of Statistics. 4.
