4.1 Delivery and Performance Location: All Mechanic services shall be performed at the supplier's certified workshop located in Al Quoz Industrial Area, Dubai, United Arab Emirates, unless otherwise specified in writing by the Buyer. Mobile Mechanic services shall be dispatched to the Buyer's designated parking facilities within Dubai within a maximum response time of four (4) hours from the time of request.

4.2 Timeline: The supplier shall commence work within five (5) business days of the acceptance of this Purchase Order and shall complete all scheduled Mechanic services within a period of ninety (90) calendar days from the commencement date. Any delays attributable to the supplier shall incur a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10% of the total value.

4.3 Payment Terms: Payment shall be made in three (3) installments: 30% upon signing and acceptance of this Purchase Order, 40% upon completion of 60% of the Mechanic services as verified by the Buyer's quality assurance team, and the remaining 30% upon final inspection, sign-off, and submission of all warranty documentation. All payments shall be made via bank transfer to the supplier's designated account in AED. Payment terms are Net 30 days from the date of invoice issuance.

4.4 Warranty: The supplier guarantees all Mechanic workmanship for a period of twelve (12) months or 20,000 kilometers (whichever comes first) from the date of completion. All genuine OEM spare parts installed shall carry the manufacturer's standard warranty. Any defects discovered within the warranty period shall be rectified by the Mechanic at no additional cost to the Buyer.

4.5 Compliance and Licensing: The supplier confirms that all Mechanic personnel assigned to this Purchase Order hold valid trade licenses, professional certifications, and work permits issued by the relevant authorities in the United Arab Emirates Dubai. The supplier shall maintain full compliance with the UAE Federal Decree-Law No. 8 of 2017 on Value Added Tax and all applicable municipal and environmental regulations in Dubai.

4.6 Insurance: The supplier shall maintain comprehensive professional indemnity insurance and public liability insurance with a minimum coverage of AED 5,000,000 for the duration of this Purchase Order. Certificates of insurance shall be provided to the Buyer prior to commencement of work.

4.7 Confidentiality: All technical data, vehicle records, and operational information shared in connection with this Purchase Order shall be treated as confidential by the supplier. The Mechanic and all personnel shall sign individual non-disclosure agreements prior to accessing any Buyer property or records.

4.8 Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to arbitration in accordance with the rules of the Dubai International Arbitration Centre (DIAC) in Dubai, United Arab Emirates. The governing law shall be the laws of the United Arab Emirates.

4.9 Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or pandemics, provided that the affected party notifies the other in writing within forty-eight (48) hours.
