• Scope of Work: All Mechanic services listed above shall be performed by ASE-certified Mechanic technicians employed by Bayou City Automotive & Mechanic Solutions, Inc. The vendor guarantees that every Mechanic assigned to this contract holds valid Texas state certification and a minimum of five (5) years of experience in heavy-duty commercial vehicle repair.
• Performance Location: Unless otherwise noted, all work shall be completed at the vendor's facility located in United States Houston, TX 77029. On-site dispatch services (Item 008) shall be rendered at the buyer's United States Houston premises at 4820 Westheimer Road within a two-hour response window.
• Delivery & Completion Schedule: The vendor shall complete all scheduled Mechanic services no later than July 15, 2025. Partial deliveries of replacement parts are acceptable provided the buyer is notified at least 48 hours in advance.
• Payment Terms: Net 30 days from the date of invoice. Payment shall be made via ACH transfer to the vendor's designated account. A 1.5% monthly late fee shall apply to overdue balances. This Purchase Order is non-cancelable once Mechanic work has commenced on any listed vehicle.
• Warranty: All Mechanic labor is warranted for 12 months or 15,000 miles, whichever occurs first. Replacement parts carry the manufacturer's standard warranty. The vendor shall perform any warranty-related Mechanic repair at no additional cost to the buyer.
• Compliance: The vendor shall comply with all applicable federal, Texas state, and United States Houston municipal regulations governing automotive repair, environmental disposal of fluids, and occupational safety (OSHA). All waste generated during Mechanic service shall be disposed of in accordance with TCEQ guidelines.
• Insurance: The vendor shall maintain general liability insurance of no less than $2,000,000 per occurrence and workers' compensation coverage for all Mechanic employees. Certificates of insurance shall be provided prior to commencement of work.
• Dispute Resolution: Any disputes arising from this Purchase Order shall be resolved through mediation in Harris County, United States Houston, Texas, in accordance with Texas law. If mediation fails, binding arbitration shall take place in United States Houston under the rules of the American Arbitration Association.
• Validity: This Purchase Order is valid for acceptance within ten (10) business days of the issue date. After this period, the buyer reserves the right to modify or cancel this Purchase Order without penalty.
