This Purchase Order is issued by Industrias del Plata S.A. to procure the professional services of a qualified Mechanical Engineer to be deployed at our manufacturing facility located in the Industrial Zone of Buenos Aires, Argentina. The scope of this engagement covers the design, analysis, and supervision of mechanical systems for a new production line dedicated to the fabrication of precision hydraulic components. The Mechanical Engineer shall operate under the direct supervision of our Plant Director and shall comply with all applicable regulations established by the Argentine National Institute of Industrial Property (INPI), the Buenos Aires City Building Code, and the safety standards mandated by the Ministry of Labor, Employment and Social Security of the Nation of Argentina.

The services described in this Purchase Order are to be rendered exclusively within the geographic jurisdiction of Argentina, Buenos Aires, and the Mechanical Engineer shall be subject to the labor laws, tax obligations, and professional conduct codes applicable in the Autonomous City of Buenos Aires. All deliverables, technical documentation, and engineering reports produced under this Purchase Order shall be prepared in accordance with the Argentine Technical Standards (IRAM) and, where applicable, international standards (ISO, ASME) as specified in the attached technical annex.

4.1 Scope and Performance. The Mechanical Engineer and associated engineering team shall perform all duties in strict accordance with the technical specifications outlined in Annex A of this Purchase Order. All work shall be executed at the buyer's premises in Buenos Aires, Argentina, or at such other location within the city as mutually agreed in writing.

4.2 Professional Qualifications. The lead Mechanical Engineer must hold a valid degree in Mechanical Engineering (Ingeniería Mecánica) from a university recognized by the Argentine Ministry of Education and must maintain an active professional registration with the Círculo de Ingenieros de Buenos Aires or the Colegio de Ingenieros de la República Argentina. Proof of such registration shall be provided prior to commencement of services.

4.3 Payment Schedule. Payment for this Purchase Order shall be made in three equal installments: 33% upon execution of this Purchase Order, 33% upon completion of the third month of services, and the remaining 34% upon final delivery and acceptance of all technical documentation. Payment shall be made via bank transfer to the account designated by the vendor in Buenos Aires, Argentina.

4.4 Intellectual Property. All designs, calculations, drawings, models, and technical reports produced by the Mechanical Engineer under this Purchase Order shall be the exclusive property of Industrias del Plata S.A. upon full payment. The vendor grants an irrevocable, perpetual license for the buyer's internal use and reproduction of all deliverables.

4.5 Confidentiality. The vendor and the Mechanical Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and business processes of the buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.

4.6 Compliance with Argentine Law. This Purchase Order is governed by and shall be interpreted in accordance with the laws of the Argentine Republic, specifically the Civil and Commercial Code of the Nation (Código Civil y Comercial de la Nación, Law 26.994) and the applicable labor and tax regulations of the Autonomous City of Buenos Aires. Any disputes arising from this Purchase Order shall be resolved by the competent commercial courts of Buenos Aires, Argentina.

4.7 Termination. Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination, and the Mechanical Engineer shall deliver all work-in-progress documentation to the buyer.

4.8 Insurance and Liability. The vendor shall maintain professional liability insurance (Seguro de Responsabilidad Civil Profesional) with a minimum coverage of ARS 10,000,000, valid throughout the term of this Purchase Order, and shall provide a certificate of insurance upon request.

Services under this Purchase Order shall commence on July 1, 2025, at the buyer's facility located at Parque Industrial, Ruta 3 Km 42.5, Partido de La Matanza, Buenos Aires, Argentina.
