This Purchase Order is issued by Padma Engineering & Industrial Solutions Ltd., a registered industrial manufacturing company headquartered in Bangladesh Dhaka, to engage the professional services of a qualified Mechanical Engineer for the design, review, and commissioning of mechanical systems at our Savar Industrial Zone facility. The Mechanical Engineer shall perform all duties in accordance with the Bangladesh National Building Code, the Bangladesh Standards and Testing Institution (BSTI) guidelines, and applicable regulations of the Bangladesh Institute of Engineers (BIE).

Note: All rates are quoted in Bangladeshi Taka (BDT) and are inclusive of the Mechanical Engineer's professional fees, travel within Bangladesh Dhaka metropolitan area, and standard software licensing costs. Any work performed outside the Bangladesh Dhaka city limits shall be subject to a separate travel and accommodation surcharge as mutually agreed in writing. Terms and Conditions

1. Acceptance: This Purchase Order shall become a binding contract upon written acceptance by the Mechanical Engineer (Engr. Rafiqul Islam) within seven (7) calendar days of the date of issue. Failure to respond within this period shall render this Purchase Order null and void.

2. Commencement: The Mechanical Engineer shall commence the design phase no later than 25 June 2025 at the project site located in the Savar Industrial Zone, Bangladesh Dhaka. A site handover meeting shall be conducted on the first day of work.

3. Payment Terms: Payment shall be made in three (3) installments: (a) 30% advance upon signing of this Purchase Order; (b) 40% upon submission and approval of all design drawings and P&ID documentation; (c) 30% upon successful commissioning and final handover of the Mechanical Engineer report. All payments shall be made via bank transfer to the account specified by the Mechanical Engineer.

4. Professional Standards: The Mechanical Engineer shall hold a valid professional license issued by the Bangladesh Institute of Engineers (BIE) and shall maintain professional indemnity insurance of not less than BDT 10,000,000 for the duration of this engagement. All deliverables must comply with the Bangladesh National Building Code (BNBC 2020) and relevant BSTI standards.

5. Confidentiality: The Mechanical Engineer agrees to treat all project data, proprietary designs, and operational information of Padma Engineering & Industrial Solutions Ltd. as strictly confidential. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.

6. Termination: Either party may terminate this Purchase Order with fourteen (14) days' written notice. In the event of termination, the Mechanical Engineer shall be compensated for all work satisfactorily completed up to the date of termination, as certified by the project manager in Bangladesh Dhaka.

7. Dispute Resolution: Any dispute arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to arbitration under the Arbitration Act, 2001 of Bangladesh, with the seat of arbitration in Bangladesh Dhaka.

8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh. All notices shall be sent to the registered office addresses stated above in Bangladesh Dhaka.
