- This Purchase Order is issued by Engenharia Mecânica São Paulo Ltda. and governs the engagement of qualified Mechanical Engineer professional services to be performed at or in support of the company's facilities located in Brazil São Paulo and its metropolitan region.
- All Mechanical Engineer deliverables, including but not limited to CAD models, CAE simulation reports, technical drawings, maintenance plans, and commissioning documentation, must comply with applicable Brazilian standards (ABNT NBR), ASME, and ISO 9001 quality management requirements.
- The vendor shall ensure that all Mechanical Engineer personnel assigned to this Purchase Order hold valid CREA (Conselho Federal de Engenharia e Agronomia) registration and possess a minimum of eight (8) years of professional experience in mechanical design, thermodynamics, or industrial maintenance within the Brazil São Paulo industrial sector.
- Payment shall be made via TED (Transferência Eletrônica Disponível) to the vendor's bank account in BRL within thirty (30) calendar days from the date of invoice receipt, subject to satisfactory acceptance of deliverables by the Receiving Department in São Paulo.
- Any change in scope, additional Mechanical Engineer hours, or modification to the original project specifications must be documented through a formal Change Order signed by both parties before execution. Unauthorized work will not be compensated under this Purchase Order.
- The vendor is responsible for all labor costs, travel expenses within the São Paulo metropolitan area, and professional liability insurance. Travel to sites outside the São Paulo metropolitan region will be billed at cost with prior written approval.
- Confidentiality: All technical data, proprietary designs, and operational information shared under this Purchase Order are the exclusive property of Engenharia Mecânica São Paulo Ltda. The Mechanical Engineer and the vendor agree to maintain strict confidentiality for a period of five (5) years following project completion, in accordance with Brazil's General Data Protection Law (LGPD – Lei Geral de Proteção de Dados).
- Delivery of all final Mechanical Engineer reports and documentation shall be made in both digital (PDF, DWG, STEP) and printed formats to the Receiving Department at the Osasco, São Paulo facility within the timelines specified in the project schedule attached as Annex A to this Purchase Order.
- This Purchase Order is governed by the laws of the Federative Republic of Brazil, with jurisdiction exclusively in the courts of the city of São Paulo, State of São Paulo, Brazil.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns, or labor strikes affecting the Brazil São Paulo industrial corridor.
