- Scope of Work: This Purchase Order authorizes Cascade Mechanical Engineering Group Ltd. to provide the Mechanical Engineer professional services as itemized above. All engineering work shall be performed in accordance with the Canadian Engineering Code of Ethics, the Professional Engineers and Geoscientists Act (British Columbia), and applicable municipal bylaws of the City of Vancouver.
- Professional Licensure: The assigned Mechanical Engineer must hold a valid P.Eng. (Professional Engineer) licence issued by the Association of Professional Engineers and Geoscientists of British Columbia (APEGA). Proof of licensure shall be provided prior to commencement of work.
- Performance Location: All on-site activities, inspections, and commissioning work shall take place at the Buyer's facility located in Vancouver, British Columbia, Canada. The Seller shall comply with all site safety protocols, including but not limited to WHMIS 2015 and BC Occupational Health and Safety regulations.
- Payment Schedule: Invoices shall be submitted monthly in arrears. Payment is due within thirty (30) calendar days of the invoice date via Electronic Funds Transfer (EFT) to the account designated by the Seller. Late payments shall accrue interest at the rate prescribed under the British Columbia Interest Act.
- Intellectual Property: All drawings, calculations, reports, and design documents produced under this Purchase Order shall become the sole property of Pacific Northwest Industrial Solutions Inc. upon full payment. The Mechanical Engineer and the Seller retain no right to reuse proprietary design elements without written consent.
- Insurance: The Seller shall maintain Professional Liability (Errors & Omissions) insurance with a minimum coverage of CAD $5,000,000 per occurrence, and Commercial General Liability insurance of CAD $2,000,000, naming the Buyer as an additional insured. Certificates of insurance shall be valid for the duration of this Purchase Order and for two (2) years thereafter.
- Warranty: The Seller warrants that all Mechanical Engineer services shall be performed in a professional, workmanlike manner consistent with the standard of care expected of a licensed Mechanical Engineer practising in Canada Vancouver. Any defects in design or calculation discovered within twenty-four (24) months of final acceptance shall be corrected at no additional cost.
- Change Orders: Any modification to the scope, schedule, or deliverables must be documented in a written Change Order signed by both parties. No additional work shall be performed without prior written authorization under this Purchase Order.
- Termination: Either party may terminate this Purchase Order with fourteen (14) days written notice. Upon termination, the Buyer shall pay for all services rendered and materials procured up to the date of termination, less any applicable savings.
- Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes arising hereunder shall be resolved through mediation in Vancouver, BC, and failing mediation, by binding arbitration under the rules of the British Columbia Arbitration Institute.
- Confidentiality: Both parties agree to maintain strict confidentiality of all proprietary information, trade secrets, and project data exchanged in connection with this Purchase Order. This obligation shall survive termination for a period of five (5) years.
