3. Scope of Work & Line Items

This Purchase Order authorizes the procurement of specialized Mechanical Engineer professional services to be delivered at the China Beijing operational site. The Mechanical Engineer shall provide comprehensive design, analysis, prototyping, and quality assurance support for the FY2025 capital equipment upgrade programme. All deliverables must comply with the national standards of the People's Republic of China (GB/T) and applicable China Beijing municipal regulations.

4. Payment Terms

1. Advance Payment (30%): CNY 154,889.10 shall be remitted within ten (10) business days of the acceptance of this Purchase Order by both parties. Payment shall be made via bank transfer to the supplier's designated account in China Beijing.
2. Milestone Payment (40%): CNY 206,518.80 shall be due upon successful delivery and buyer sign-off of all CAD models, FEA reports, and technical documentation at the China Beijing project site.
3. Final Payment (30%): CNY 154,889.10 shall be payable within fifteen (15) business days after the completion of on-site commissioning and the commencement of the 12-month warranty period.
4. All payments are denominated in Chinese Yuan (CNY). Late payments shall accrue interest at 0.05% per calendar day as stipulated under the Civil Code of the People's Republic of China.

5. Delivery & Acceptance Criteria

1. All design deliverables must be submitted to the buyer's project manager at the China Beijing office no later than 30 August 2025. The Mechanical Engineer is responsible for ensuring that all files are in industry-standard formats (STEP, DWG, PDF) and are free of intellectual property encumbrances.
2. On-site services shall be performed at the buyer's facility in Haidian District, China Beijing, during standard working hours (08:30–17:30, Monday to Friday). The Mechanical Engineer must present valid work permits and comply with all site safety protocols.
3. The buyer reserves the right to conduct a formal acceptance inspection within five (5) business days of delivery. Any non-conformities must be rectified by the Mechanical Engineer at no additional cost within ten (10) business days of written notice.

6. Terms & Conditions

1. This Purchase Order is governed by the laws of the People's Republic of China. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Beijing Arbitration Commission (BAC) in China Beijing.
2. The Mechanical Engineer and the supplier warrant that all services and deliverables shall be performed with reasonable skill, care, and in accordance with the latest applicable national standards (GB) and China Beijing local regulations.
3. Confidentiality: All technical data, proprietary designs, and business information exchanged under this Purchase Order shall be treated as strictly confidential. The Mechanical Engineer shall not disclose any such information to third parties without prior written consent from the buyer.
4. Intellectual Property: Upon full payment, all designs, drawings, analyses, and documentation created specifically for the buyer under this Purchase Order shall become the sole property of Beijing Precision Engineering Solutions Co., Ltd.
5. Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government mandates in China Beijing, or public health emergencies, provided that written notice is given within 48 hours.
6. This Purchase Order becomes effective upon signature by both authorized representatives and remains valid until all obligations are fully discharged.
