- Governing Law: This Purchase Order shall be governed by and construed in accordance with the Civil Code of the People's Republic of China and applicable regulations of China Shanghai. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Shanghai International Economic and Trade Arbitration Commission (SHIAC).
- Professional Qualification: The Mechanical Engineer engaged under this Purchase Order must hold a valid Class-A Mechanical Engineering Professional License issued by the Shanghai Municipal Housing and Urban-Rural Development Commission. The supplier shall provide a certified copy of the license prior to commencement of work.
- Intellectual Property: All designs, drawings, calculations, and documentation produced by the Mechanical Engineer in the course of fulfilling this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Mechanical Engineer shall not reuse, disclose, or license any proprietary data to third parties without written consent.
- Compliance with China Shanghai Regulations: All engineering activities, including on-site inspections and prototype testing, must adhere to the safety and environmental regulations enforced by the Shanghai Municipal Government. The Mechanical Engineer is responsible for obtaining any necessary local permits for fieldwork within China Shanghai.
- Payment Terms: Payment shall be made in three installments: 30% upon signing of this Purchase Order, 40% upon delivery of prototype components and software licenses, and 30% upon final acceptance of all deliverables. Payments shall be transferred via bank wire to the supplier's designated account in China Shanghai.
- Acceptance Criteria: The Buyer shall have fourteen (14) calendar days from the date of delivery to inspect and accept or reject each line item. Rejection must be communicated in writing with specific reasons. The Mechanical Engineer shall rectify any non-conformities within ten (10) business days at no additional cost.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, trade secrets, and business information exchanged under this Purchase Order. This obligation survives termination of the Purchase Order for a period of three (3) years.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government-mandated shutdowns in China Shanghai, or public health emergencies, provided that the affected party notifies the other within five (5) business days.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the termination date.
- Language: This Purchase Order is executed in English. In the event of any discrepancy between the English version and any Chinese translation, the English version shall prevail, unless otherwise stipulated by PRC law.
All on-site activities performed by the Mechanical Engineer shall take place at the Buyer's manufacturing facility located at No. 888 Century Avenue, Pudong New Area, China Shanghai, 200120. The Mechanical Engineer is expected to report to the site at 08:30 AM China Standard Time (CST, UTC+8) on scheduled working days. Digital deliverables shall be transmitted via the Buyer's secure project portal. Physical documents and prototype components shall be delivered to the receiving dock at the same China Shanghai address.
