This Purchase Order is issued by Congo Industrial Development Corporation (CIDC) to Kinshasa Engineering & Technical Solutions SARL for the procurement of professional Mechanical Engineer services. The Mechanical Engineer is expected to possess a minimum of ten (10) years of professional experience in heavy industrial mechanical systems, including but not limited to piping systems, HVAC infrastructure, rotating machinery, and structural steel fabrication. All work under this Purchase Order shall be executed in full compliance with the regulatory standards of the DR Congo Kinshasa municipal authorities and the national Directorate of Mines and Industrial Safety (DGMIS).

The Mechanical Engineer shall commence preliminary design work within five (5) business days of the effective date of this Purchase Order. All deliverables shall be completed at the project site in Kinshasa, DR Congo, in accordance with the following milestones: Preliminary Design by 31 July 2025; Detailed Engineering by 30 September 2025; On-Site Installation Supervision from 1 October 2025 to 28 December 2025; Commissioning and Handover by 31 January 2026. The Mechanical Engineer shall report weekly to the CIDC Procurement Director and submit a comprehensive progress report to the DR Congo Kinshasa municipal industrial office as required by local ordinance.

Payment for this Purchase Order shall be made in United States Dollars (USD) via bank transfer to the supplier's account at the Commercial Bank of Congo (BCC), Kinshasa branch. Payment shall be structured as follows: 30% advance payment upon signature of this Purchase Order; 40% upon completion and acceptance of detailed engineering deliverables; 20% upon successful commissioning; and 10% upon final handover and acceptance of all documentation. Invoices shall be submitted in triplicate and must reference this Purchase Order number (DRC-KIN-2025-ME-0047). Payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under DR Congo commercial law.

7.1 This Purchase Order is governed by the commercial laws of the Democratic Republic of the Congo, specifically the Code de Commerce applicable in DR Congo Kinshasa. Any disputes arising from this Purchase Order shall be resolved through arbitration at the Kinshasa Chamber of Commerce and Industry (CCI Kinshasa) in accordance with its rules of procedure.

7.2 The Mechanical Engineer shall maintain valid professional liability insurance with a minimum coverage of USD 500,000 throughout the duration of the contract. Proof of insurance shall be provided prior to commencement of on-site work in Kinshasa.

7.3 The Mechanical Engineer shall comply with all occupational health and safety regulations enforced by the DR Congo Kinshasa labor authority (Direction du Travail). All on-site personnel must wear appropriate personal protective equipment (PPE) and undergo a site-specific safety induction before entering the project area.

7.4 The supplier warrants that the Mechanical Engineer assigned to this Purchase Order holds a recognized degree in Mechanical Engineering from an accredited institution and is registered with the Ordre des Ingénieurs de la République Démocratique du Congo (OIRDC).

7.5 All intellectual property, drawings, calculations, and documentation produced under this Purchase Order shall become the exclusive property of CIDC upon full payment. The Mechanical Engineer shall not reuse, reproduce, or disclose such materials to any third party without written consent.

7.6 Force majeure events, including but not limited to civil unrest, natural disasters, or government-imposed restrictions in DR Congo Kinshasa, shall excuse timely performance. The affected party must notify the other in writing within forty-eight (48) hours of the event's occurrence.

7.7 This Purchase Order shall remain valid for one hundred and eighty (180) days from the date of issue. If not accepted and signed by the supplier within this period, the Purchase Order shall automatically lapse and CIDC reserves the right to reissue or cancel.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the engagement of the Mechanical Engineer in DR Congo Kinshasa. This document constitutes a binding commercial agreement between the parties.
