This Purchase Order is issued by Nile Delta Industrial Solutions S.A.E. to engage the services of a qualified Mechanical Engineer for the design, review, and technical supervision of mechanical systems in the Phase II expansion of our manufacturing facility located in the 10th of Ramadan Industrial City, Cairo, Egypt. The Mechanical Engineer shall be responsible for the complete mechanical scope including HVAC system design, piping layout, structural support calculations, equipment selection, and on-site commissioning oversight. All deliverables and site visits shall be conducted within the administrative boundaries of Egypt Cairo, with primary work performed at the project site and supplementary design work at the vendor's office in Al-Mokattam, Cairo.

3.1 This Purchase Order is governed by the laws of the Arab Republic of Egypt, specifically the Egyptian Civil Code (Law No. 131 of 1948) and applicable regulations of the Egyptian Engineers Syndicate in Cairo.

3.2 The Mechanical Engineer shall hold a valid professional license issued by the Egyptian Engineers Syndicate, Cairo Branch, and shall maintain professional liability insurance with a minimum coverage of EGP 2,000,000 for the duration of the contract.

3.3 All design deliverables shall comply with Egyptian National Standards (EGS), ASME, ASHRAE, and applicable codes recognized by the Cairo Governorate. The Mechanical Engineer shall submit all drawings and calculations for approval to the project manager at Nile Delta Industrial Solutions no less than ten (10) working days before the scheduled installation date.

3.4 The Mechanical Engineer shall conduct all on-site supervision activities at the project location in 10th of Ramadan Industrial City, Cairo, Egypt, during standard working hours (08:00–17:00, Sunday through Thursday). Any work performed outside these hours or on public holidays in Egypt shall be compensated at 1.5 times the daily rate specified in Item 04.

3.5 The vendor shall not subcontract any portion of the Mechanical Engineer services without prior written consent from the issuing company. Any approved subcontracting shall remain the full responsibility of the Mechanical Engineer under this Purchase Order.

3.6 Intellectual property rights for all designs, calculations, and documentation produced under this Purchase Order shall vest exclusively in Nile Delta Industrial Solutions S.A.E. upon full payment. The Mechanical Engineer retains the right to reference the project in professional portfolios with prior written permission.

Payment shall be made in Egyptian Pounds (EGP) via bank transfer to the account designated by the Mechanical Engineer. The schedule is as follows:

• 30% advance payment upon signing of this Purchase Order: EGP 212,211
• 40% upon submission and approval of all design deliverables (Items 01–03, 05, 06): EGP 282,948
• 30% upon completion of on-site commissioning and handover of As-Built documents (Item 04): EGP 212,211

Invoices shall be submitted to the procurement department at Nile Delta Industrial Solutions, Cairo, and payment shall be processed within twenty-one (21) calendar days of receipt of a valid invoice. Late payment shall accrue interest at the Central Bank of Egypt base rate plus 2% per annum.

The Mechanical Engineer shall commence design activities within five (5) working days of the date of this Purchase Order. The total project duration, including on-site supervision in Cairo, shall not exceed one hundred and twenty (120) calendar days from the commencement date. The Mechanical Engineer shall provide a weekly progress report to the project manager every Friday.

This Purchase Order becomes effective upon signature by both parties. The Mechanical Engineer acknowledges receipt of this Purchase Order and agrees to all terms stated herein. Any amendments must be made in writing and signed by both parties.

This Purchase Order is issued in the city of Cairo, Egypt. All communications, disputes, and legal proceedings related to this document shall be handled in Arabic or English and shall fall under the jurisdiction of the competent courts in Cairo, Egypt. This document is valid only when bearing the official company stamp and authorized signatures of both parties.
