This Purchase Order is issued by Provence Industrial Systems SAS to procure the professional services of a qualified Mechanical Engineer for the design, analysis, and oversight of industrial equipment upgrades at our manufacturing facility located in France Marseille. The Mechanical Engineer shall be responsible for the complete mechanical design lifecycle, including but not limited to: CAD modelling, finite element analysis (FEA), thermodynamic system design, material selection, prototyping supervision, and on-site commissioning of all mechanical assemblies. The Mechanical Engineer must hold a minimum of a Master's degree in Mechanical Engineering (Diplôme d'Ingénieur) and possess at least eight (8) years of professional experience in industrial machinery design within the French or European regulatory framework.
All deliverables under this Purchase Order shall comply with the applicable French national standards (Normes Françaises), European Union directives (CE marking requirements), and the specific technical specifications outlined in Annex A attached to this Purchase Order. The Mechanical Engineer shall report directly to the Buyer's Plant Manager in Marseille and shall be physically present at the Buyer's premises in France Marseille for a minimum of four (4) days per week during the active project phase.

The Mechanical Engineer shall commence services on 1 July 2025 at the Buyer's facility in France Marseille. The full project duration is estimated at six (6) months, with a target completion date of 31 December 2025. All intermediate deliverables, including design reviews, FEA reports, and prototype milestones, shall be submitted to the Buyer's project management team no later than the dates specified in the project Gantt chart (Annex B). The Mechanical Engineer shall ensure that all on-site activities in France Marseille are conducted in accordance with the site's health, safety, and environmental (HSE) protocols.
6. TERMS AND CONDITIONS6.1 This Purchase Order is governed by the laws of the French Republic. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Marseille, France.
6.2 The Seller warrants that the Mechanical Engineer engaged under this Purchase Order holds all necessary professional qualifications, certifications, and professional liability insurance (assurance responsabilité civile professionnelle) valid throughout the contract period in France Marseille.
6.3 Payment shall be made via bank transfer (virement bancaire) to the Seller's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the rate of 1.5% per month as per French commercial law (Article L441-10 du Code de commerce).
6.4 The Buyer reserves the right to terminate this Purchase Order with thirty (30) days' written notice in the event of material breach by the Seller or failure of the Mechanical Engineer to meet agreed performance milestones.
6.5 All intellectual property, design documents, CAD files, and technical data produced by the Mechanical Engineer under this Purchase Order shall become the exclusive property of the Buyer upon full payment.
6.6 The Seller shall comply with all applicable French labour regulations, data protection laws (RGPD / GDPR), and professional engineering codes of conduct (Ordre des Ingénieurs) while performing services in France Marseille.
6.7 Force majeure events, including but not limited to natural disasters, strikes, or government-mandated closures affecting the France Marseille region, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within five (5) business days.
7. ACCEPTANCE & SIGNATURESBy signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Mechanical Engineer in France Marseille.
