This Purchase Order is issued by Frankfurt Industrial Solutions GmbH (hereinafter referred to as the "Client") to Apex Engineering Consultants GmbH (hereinafter referred to as the "Vendor") for the provision of a qualified Mechanical Engineer to support the Client's ongoing manufacturing and infrastructure projects located in Germany Frankfurt. The Mechanical Engineer shall be responsible for the design, analysis, testing, and documentation of mechanical systems, including but not limited to hydraulic assemblies, thermal management units, and structural load-bearing components for the Client's production facility situated at the Frankfurt industrial zone along the Main River corridor.

The Mechanical Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Mechanical Engineering (Diplom or M.Sc.) from an accredited German or internationally recognised university, possess at least eight (8) years of progressive professional experience in mechanical design and systems engineering, and be fluent in both German and English to facilitate seamless communication with the Client's multidisciplinary teams operating in Germany Frankfurt. The Mechanical Engineer shall be required to work on-site at the Client's premises in Frankfurt am Main for a minimum of four (4) days per week, with the remaining time allocated to remote design and documentation tasks.

The Mechanical Engineer shall commence duties no later than 01 September 2025 at the Client's primary facility located at Industriestraße 27, 60549 Frankfurt am Main, Germany. All deliverables, including design drawings, calculation reports, test protocols, and as-built documentation, shall be submitted to the Client's Project Management Office in Germany Frankfurt on a bi-weekly basis. The engagement period under this Purchase Order is twelve (12) months, with the option for a six-month extension subject to mutual written agreement.

Payment shall be made in monthly instalments within thirty (30) calendar days of receipt of a valid invoice from the Vendor. The Vendor shall submit invoices referencing this Purchase Order number (FIS-2025-04872) and the applicable line items. Late payments shall incur interest at the statutory rate pursuant to Section 288 of the German Civil Code (BGB). All payments shall be executed via SEPA bank transfer to the IBAN specified in Section 1 of this document.

• This Purchase Order is governed by the laws of the Federal Republic of Germany. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts in Frankfurt am Main, Germany.
• The Mechanical Engineer engaged under this Purchase Order shall be bound by strict confidentiality obligations regarding all proprietary designs, trade secrets, and technical data of the Client. A separate Non-Disclosure Agreement (NDA) shall be executed prior to commencement.
• The Vendor warrants that the Mechanical Engineer shall comply with all applicable German occupational safety regulations (Arbeitsschutzgesetz), environmental standards, and industry-specific codes (DIN, VDI, VDE) relevant to mechanical engineering work performed in Germany Frankfurt.
• The Client reserves the right to request a replacement of the Mechanical Engineer with reasonable notice (minimum 14 days) if performance does not meet the agreed-upon quality benchmarks.
• Force majeure events, including but not limited to natural disasters, pandemics, or government-mandated shutdowns affecting operations in Germany Frankfurt, shall suspend obligations under this Purchase Order for the duration of the event.
• All intellectual property created by the Mechanical Engineer in the course of this engagement shall vest exclusively in the Client upon full payment.

This Purchase Order constitutes a binding commercial agreement between the parties upon execution by both signatories. This document was prepared in accordance with German commercial law (HGB) and applicable EU procurement directives. All references to "Germany Frankfurt" in this Purchase Order denote the city of Frankfurt am Main, Hesse, Federal Republic of Germany. The term "Mechanical Engineer" refers to the qualified professional as defined in Section 2. This Purchase Order is valid only when bearing the original wet-ink signatures of both parties or their authorised digital equivalents (eIDAS-compliant).
