1. Description of Procurement – Mechanical Engineer Services

This Purchase Order is issued by Tehran Industrial Engineering Solutions Co. (TIESC) to Precision Mechanical Consulting Group (PMCG) for the procurement of professional Mechanical Engineer services to be performed at the project site located in Iran Tehran. The Mechanical Engineer engaged under this Purchase Order shall be responsible for the design, analysis, simulation, and technical oversight of mechanical systems for the Tehran Metropolitan Water Treatment Expansion Project. The scope of work encompasses thermodynamic system design, structural integrity assessment, fluid dynamics modeling, and the preparation of detailed engineering drawings and technical documentation in compliance with Iranian national standards (ISIRI) and applicable international engineering codes.

3. Project Location and Site Details

All services rendered under this Purchase Order shall be executed at the designated project site in Iran Tehran, specifically at the Tehran Metropolitan Water Treatment Facility, located in the southern industrial zone of the city. The Mechanical Engineer team shall report to the TIESC project office situated at the same location. Working hours shall conform to the standard Iranian business schedule (Saturday through Wednesday, 08:00 to 16:30, with a one-hour lunch break). Any work performed outside of Iran Tehran at satellite sites within the Tehran metropolitan area shall be pre-approved in writing by the TIESC project manager.

4. Terms and Conditions

4.1 – Payment Terms: Payment shall be made in three equal installments (33.33% each) upon completion of each project phase. Invoices shall be submitted to the TIESC finance department in Iran Tehran within ten (10) business days of phase completion. Payment shall be processed via bank transfer to the account designated by PMCG within fifteen (15) business days of invoice approval.

4.2 – Commencement and Duration: The Mechanical Engineer team shall commence work no later than 1 August 2025. The total project duration is six (6) months, with a possible extension of up to two (2) months subject to mutual written agreement. Any delay in commencement beyond the agreed start date shall entitle TIESC to a penalty of 0.5% of the total Purchase Order value per day of delay.

4.3 – Qualifications: Each Mechanical Engineer assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Mechanical Engineering from an accredited institution recognized by the Iranian Ministry of Science, Research and Technology. The Senior Mechanical Engineer must possess a minimum of ten (10) years of relevant professional experience and a valid professional engineering license issued in Iran.

4.4 – Compliance and Standards: All engineering work shall comply with Iranian national standards (ISIRI), the Iranian Building Code, and applicable international standards including ASME, ISO, and API. The Mechanical Engineer shall ensure that all designs meet the safety and regulatory requirements enforced by the Tehran Municipal Engineering Authority.

4.5 – Intellectual Property: All designs, calculations, simulation data, and documentation produced under this Purchase Order shall become the exclusive property of TIESC upon full payment. PMCG shall not reuse, reproduce, or disclose any project-specific engineering data to third parties without prior written consent.

4.6 – Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, PMCG shall be compensated for all work completed and documented up to the termination date. TIESC reserves the right to terminate immediately in the event of material breach, gross negligence, or failure to meet critical project milestones.

4.7 – Dispute Resolution: Any disputes arising from this Purchase Order shall first be attempted to be resolved through amicable negotiation. If unresolved within thirty (30) days, the matter shall be referred to arbitration under the rules of the Tehran International Arbitration Center, Iran Tehran. The language of arbitration shall be English.

4.8 – Governing Law: This Purchase Order shall be governed by and construed in accordance with the civil and commercial laws of the Islamic Republic of Iran. The jurisdiction of the competent courts in Iran Tehran shall apply in the absence of arbitration.

5. Acceptance and Authorization

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the procurement of Mechanical Engineer services in Iran Tehran. This document constitutes a binding agreement between TIESC and PMCG effective from the date of the last signature.
