4.1 This Purchase Order is governed by the laws of the Republic of Côte d'Ivoire (Ivory Coast) and the applicable provisions of the Ivorian Commercial Code. Any disputes arising from this Purchase Order shall be resolved through the competent courts of Abidjan, Ivory Coast.
4.2 The Mechanical Engineer services described herein shall be performed in strict compliance with the Ivorian National Standards (Normes Ivoiriennes — NI), the International Organization for Standardization (ISO) codes, and the specific technical specifications outlined in Project Reference PRJ-ABJ-2025-031.
4.3 Payment shall be made within thirty (30) calendar days of receipt of a valid invoice from the vendor, via bank transfer to the account specified in Section 1. All payments are denominated in West African CFA Franc (XOF).
4.4 The vendor shall ensure that the assigned Mechanical Engineer holds a valid professional engineering license recognized by the Ivorian Order of Engineers (Ordre des Ingénieurs de Côte d'Ivoire) and possesses a minimum of ten (10) years of relevant experience in port and industrial mechanical systems.
4.5 All deliverables, including design documents, calculations, and as-built drawings, shall be submitted in both French and English to the project management office of SAIC located in Abidjan, Ivory Coast, within the timelines specified in the project schedule.
4.6 The vendor shall maintain adequate professional indemnity and liability insurance coverage for the duration of the engagement, with a minimum coverage of 50,000,000 XOF, valid in the territory of Ivory Coast.
4.7 This Purchase Order may be amended only by written mutual agreement signed by authorized representatives of both parties. No verbal modifications shall be binding.
4.8 The vendor shall comply with all applicable labor, environmental, and safety regulations in force in Abidjan and the Ivory Coast, including the Ivorian Code du Travail and the regulations of the Agence Nationale de l'Environnement (ANDE).
All on-site activities, inspections, and commissioning work related to this Purchase Order shall take place at the Abidjan Port Expansion Project site, Zone Industrielle de Vridi, Abidjan, Ivory Coast. Design and office-based work may be performed at the vendor's premises in Yopougon, Abidjan, or remotely, provided that all deliverables are submitted to SAIC's project office in Abidjan within the agreed deadlines.
This Purchase Order is issued and authorized by the undersigned on behalf of Société Africaine d'Ingénierie et de Construction (SAIC), Abidjan, Ivory Coast. The vendor is requested to confirm acceptance of this Purchase Order in writing within five (5) business days of receipt.
