This Purchase Order is issued by Tokyo Industrial Systems Corporation (hereinafter referred to as the "Buyer") to Precision Engineering & Design Ltd. (hereinafter referred to as the "Seller") for the procurement of qualified Mechanical Engineer professional services to be performed within the Japan Tokyo metropolitan area. The scope of work under this Purchase Order encompasses the design, analysis, prototyping, and technical oversight of mechanical subsystems for the Buyer's next-generation automated manufacturing line located at its Chuo-ku, Tokyo facility. The Mechanical Engineer engaged under this Purchase Order shall be responsible for all mechanical design deliverables, finite element analysis (FEA) reports, tolerance stack-up calculations, and on-site commissioning support throughout the project lifecycle.

3.1 Payment Terms: Payment shall be made in three equal instalments: 30% upon execution of this Purchase Order, 40% upon completion of the design and FEA phase (Month 6), and 30% upon final acceptance of all deliverables and successful commissioning at the Japan Tokyo plant. All payments shall be transferred via bank wire to the Seller's designated account at Mizuho Bank, Tokyo Central Branch.

3.2 Performance and Standards: The Mechanical Engineer(s) assigned under this Purchase Order shall comply with all applicable Japanese Industrial Standards (JIS), ISO 9001:2015 quality management requirements, and the specific technical specifications outlined in Annex A attached to this Purchase Order. All CAD files shall be delivered in native SolidWorks format with STEP AP214 exports for interoperability.

3.3 Work Location: All on-site work, meetings, and commissioning activities shall take place within the Japan Tokyo metropolitan area, specifically at the Buyer's facility in Chuo-ku, Tokyo, and the Seller's office in Marunouchi, Chuo-ku, Tokyo. The Mechanical Engineer shall be available on-site a minimum of four (4) days per week during active project phases.

3.4 Intellectual Property: All designs, drawings, FEA models, and documentation produced under this Purchase Order shall be the exclusive property of Tokyo Industrial Systems Corporation. The Seller grants no third-party rights to any deliverable. The Mechanical Engineer shall sign a non-disclosure agreement (NDA) prior to commencing work.

3.5 Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Seller shall deliver all work-in-progress files and documentation to the Buyer, and payment shall be adjusted pro-rata for services rendered up to the termination date.

3.6 Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of Japan. Any disputes arising from this Purchase Order shall be resolved through arbitration in Tokyo, Japan, in accordance with the rules of the Japan Commercial Arbitration Association (JCAA).

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the procurement of Mechanical Engineer services in Japan Tokyo. This document constitutes a binding commercial agreement effective from the date of the last signature.
