This Purchase Order is issued by Hydrotech Engineering Pvt. Ltd., Kathmandu, Nepal, to Kathmandu Mechanical Solutions LLP for the engagement of qualified Mechanical Engineer services in connection with the design, fabrication oversight, and commissioning of industrial hydraulic systems at our Kathmandu manufacturing facility. This document constitutes a binding procurement instrument under the commercial laws of the Kingdom of Nepal and shall govern all terms, conditions, deliverables, and financial obligations between the parties.

The Mechanical Engineer services procured under this Purchase Order shall encompass the following activities to be performed within the Kathmandu metropolitan area and its immediate industrial zones in Nepal:

  • Design and technical specification of a 200-ton hydraulic press system for the Kathmandu production line, including all CAD drawings, stress analysis reports, and material selection documentation.
  • On-site supervision of fabrication and assembly of mechanical components at the supplier's workshop located on Bhaktapur Road, Kathmandu, Nepal.
  • Commissioning, load testing, and performance validation of the completed hydraulic system at the buyer's facility in New Baneshwor, Kathmandu.
  • Preparation of a comprehensive operation and maintenance manual in both English and Nepali for the end-user personnel.
  • Provision of a dedicated Mechanical Engineer with a minimum of ten (10) years of post-qualification experience in hydraulic and pneumatic systems, registered with the Nepal Engineering Council (NEC).
  • Two (2) on-site training sessions for the buyer's technical staff, each session lasting a minimum of eight (8) working hours, to be conducted at the Kathmandu facility.

3. TERMS AND CONDITIONS
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the Contract Act, 2056 (1999) of Nepal and the applicable regulations of the Nepal Engineering Council. Any disputes shall be resolved through arbitration in Kathmandu, Nepal, in accordance with the Arbitration Act, 2055 (1999).
  2. Qualification Requirement: The Mechanical Engineer assigned to this Purchase Order must hold a Bachelor's degree in Mechanical Engineering from a Nepal Engineering Council-accredited institution and must possess a valid NEC professional registration number. A copy of the registration certificate shall be submitted prior to the commencement of work.
  3. Performance Schedule: All deliverables must be completed within ninety (90) calendar days from the date of acceptance of this Purchase Order. The Mechanical Engineer shall submit a detailed work plan within five (5) working days of PO acceptance.
  4. Payment Schedule: Payment shall be made in three (3) installments: 30% upon acceptance of this Purchase Order, 40% upon completion of fabrication supervision, and 30% upon successful commissioning and handover of all documentation. All payments shall be made via bank transfer to the supplier's account in a commercial bank operating in Kathmandu, Nepal.
  5. Warranty: The Mechanical Engineer shall provide a twelve (12)-month warranty on all design deliverables. Any design defects identified within the warranty period shall be rectified at no additional cost to the buyer.
  6. Confidentiality: All technical drawings, specifications, and proprietary information exchanged under this Purchase Order shall be treated as confidential. The supplier and the assigned Mechanical Engineer shall not disclose such information to any third party without prior written consent from Hydrotech Engineering Pvt. Ltd.
  7. Force Majeure: Neither party shall be liable for delays caused by natural disasters (including earthquakes, which are a recognized risk in the Kathmandu Valley, Nepal), government-imposed restrictions, or other events beyond reasonable control.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the date of termination at the rates specified herein.
  9. Compliance: All work performed under this Purchase Order shall comply with the Nepal Standards and Metrology Department (NSMD) regulations, local Kathmandu Metropolitan City building and industrial codes, and all applicable environmental and safety standards of Nepal.
NOTE: This Purchase Order is valid for acceptance within fifteen (15) calendar days from the date of issue. Failure to accept within this period shall render this document null and void. The supplier's acceptance must be in writing and signed by an authorized representative of Kathmandu Mechanical Solutions LLP. All communications regarding this Purchase Order shall be directed to the procurement department of Hydrotech Engineering Pvt. Ltd., Kathmandu, Nepal. 4. ACCEPTANCE AND AUTHORIZATION

By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the engagement of Mechanical Engineer services in Kathmandu, Nepal.
