This Purchase Order is issued by Amsterdam Engineering Solutions B.V. to procure the professional services of a qualified Mechanical Engineer for the design, analysis, and validation of industrial HVAC systems and structural support frameworks for the new logistics facility located in the Netherlands Amsterdam business district (Zuidas area). The Mechanical Engineer shall be responsible for all technical deliverables as outlined in the line items below, in full compliance with Dutch building regulations (Bouwbesluit), European mechanical engineering standards (EN 1990 series), and the specific project requirements documented in the attached Statement of Work (SOW-AM-2025-019).

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the District Court of Amsterdam, Netherlands.
- Payment: Payment shall be made within thirty (30) calendar days from the date of a valid invoice, via bank transfer to the supplier's designated account in the Netherlands. Late payments shall accrue interest at the statutory Dutch rate (wettelijke rente) as defined in Article 6:119a of the Dutch Civil Code (Burgerlijk Wetboek).
- Intellectual Property: All designs, drawings, CAD models, simulation reports, and documentation produced by the Mechanical Engineer under this Purchase Order shall become the sole property of Amsterdam Engineering Solutions B.V. upon full payment. The Mechanical Engineer retains no right to reuse, reproduce, or disclose project-specific deliverables without prior written consent.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all technical data, proprietary information, and business details exchanged in connection with this Purchase Order. This obligation shall survive termination for a period of five (5) years.
- Quality & Compliance: All work performed by the Mechanical Engineer shall comply with applicable Dutch and European standards, including but not limited to NEN-EN 1990 (Eurocodes), NEN-EN 12828 (HVAC systems), and the Dutch Environmental Permitting Act (Omgevingswet). Non-conforming deliverables must be rectified at the supplier's own cost within ten (10) business days of written notice.
- Insurance: The Mechanical Engineer and the supplier shall maintain professional indemnity insurance with a minimum coverage of EUR 2,000,000 per claim, valid throughout the duration of the contract and for two (2) years thereafter. Proof of insurance shall be provided prior to commencement of work in the Netherlands Amsterdam site.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the supplier shall be compensated for all work completed and accepted up to the date of termination, less any applicable penalties for incomplete milestones.
- Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, government-imposed restrictions, or pandemics, provided that the affected party notifies the other within five (5) business days.
- Working Location: All on-site activities, inspections, and supervisory duties shall be conducted at the project premises in the Netherlands Amsterdam area (Zuidas, 1077 Amsterdam). The Mechanical Engineer shall comply with all site safety regulations and Dutch occupational health and safety legislation (Arbowet).
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of the Mechanical Engineer in the Netherlands Amsterdam project. This document constitutes a binding agreement upon execution by both authorized representatives.
