This Purchase Order is issued by Northland Industrial Solutions Ltd to engage the services of a qualified Mechanical Engineer to perform comprehensive design, analysis, and commissioning work for the new manufacturing facility located in New Zealand Auckland. The Mechanical Engineer shall be responsible for all mechanical systems design, including HVAC infrastructure, process piping, structural steel supports, and rotating equipment selection in accordance with the New Zealand Building Code (NZBC) and applicable Auckland Council bylaws.
The scope of work for this Mechanical Engineer engagement includes but is not limited to the following deliverables:

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of New Zealand, specifically the Contract and Commercial Law Act 2017 and the Consumer Guarantees Act 1993 where applicable. All disputes shall be resolved in the District Court of Auckland, New Zealand.
- Professional Standards: The Mechanical Engineer shall perform all services in accordance with the Code of Professional Conduct of Engineering New Zealand (ENZ) and shall maintain a valid professional indemnity insurance policy with a minimum cover of NZD 5,000,000 throughout the duration of this Purchase Order.
- Payment Terms: Payment shall be made within 20 business days of receipt of a valid tax invoice. Milestone payments are structured as follows: 25% upon acceptance of the design package, 40% upon completion of commissioning, and 35% upon final handover and sign-off. All payments shall be made via bank transfer to the account nominated by Apex Mechanical Engineering Services Ltd.
- Intellectual Property: All drawings, calculations, models, and documentation produced under this Purchase Order shall become the sole property of Northland Industrial Solutions Ltd upon full payment. The Mechanical Engineer retains the right to reference the project in professional portfolios with prior written consent.
- Health and Safety: The Mechanical Engineer shall comply with the Health and Safety at Work Act 2015 (New Zealand) and all Auckland Council site-specific safety requirements. A valid Site Safety Induction must be completed prior to any on-site work in New Zealand Auckland.
- Confidentiality: All project data, client information, and proprietary processes disclosed during the engagement are strictly confidential. This obligation survives the termination of this Purchase Order for a period of five (5) years.
- Termination: Either party may terminate this Purchase Order with 14 days written notice. In the event of termination, the Mechanical Engineer shall be compensated for all work completed and documented up to the date of termination, less any amounts already paid.
- Warranties: The Mechanical Engineer warrants that all design work shall be fit for purpose, free from defects, and compliant with all applicable New Zealand standards including AS/NZS 1170 (Structural Design Actions) and AS/NZS 1668 (Ventilation for Acceptable Indoor Air Quality).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters (earthquakes, volcanic activity), government-imposed restrictions, or pandemics affecting operations in New Zealand Auckland.
