1. Scope of Work: The Mechanical Engineer engaged under this Purchase Order shall perform all duties in strict accordance with the specifications outlined in Annexure A attached hereto. All engineering deliverables must be submitted to the Nigeria Abuja project office no later than the dates stipulated in the project timeline.
2. Payment Terms: Payment shall be made in three (3) tranches: 40% upon acceptance of this Purchase Order and commencement of design work; 40% upon successful completion of on-site commissioning in Abuja; and 20% upon submission and approval of the Final Design Report. All payments shall be processed via bank transfer to the vendor's designated account within fourteen (14) business days of invoice submission.
3. Delivery and Location: All physical deliverables, including engineering drawings, reports, and procured equipment, shall be delivered to the Nigeria Abuja project site located at Gwagwalada, FCT, or the corporate office at Wuse Zone 6, Abuja, as directed by the Project Manager.
4. Compliance and Standards: The Mechanical Engineer shall ensure full compliance with the Nigerian Standards Organisation (SON) regulations, the Federal Capital Territory (FCT) building and infrastructure codes, and all applicable provisions of the Nigerian Engineering Council (COREN) practice guidelines. The Mechanical Engineer must hold a valid COREN registration and a current Certificate of Practice.
5. Insurance and Liability: The vendor shall maintain comprehensive professional indemnity insurance with a minimum cover of NGN 50,000,000 for the duration of this Purchase Order. The Mechanical Engineer shall be solely liable for any design errors, omissions, or professional negligence arising from the services rendered in Nigeria Abuja.
6. Confidentiality: All technical data, proprietary information, and project documentation exchanged under this Purchase Order shall be treated as strictly confidential. The Mechanical Engineer shall not disclose any details of the Abuja Water Treatment Plant project to third parties without prior written consent from Nigeria Abuja Industrial Development Corp.
7. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Mechanical Engineer shall be compensated for all work satisfactorily completed up to the date of termination, less any damages incurred by the company.
8. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising herefrom shall be resolved through arbitration in Abuja, FCT, in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.
