SCOPE OF WORK — MECHANICAL ENGINEER SERVICES

This Purchase Order is issued by Lagos Industrial Infrastructure Ltd. to engage the services of a qualified Mechanical Engineer and associated technical team for the design, review, and commissioning of industrial mechanical systems at the buyer's manufacturing facility located in Nigeria Lagos. The Mechanical Engineer shall be responsible for all aspects of mechanical design, thermal analysis, fluid dynamics modelling, equipment selection, and on-site supervision as detailed in the line items below. All work shall comply with the Nigerian Standards (SON) and the Engineering, Architecture and Planning Practice Board (EAPPB) regulations applicable in Nigeria Lagos.

TERMS AND CONDITIONS
  1. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, with specific reference to commercial and industrial regulations applicable in Nigeria Lagos. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Lagos in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.
  2. Payment Schedule: Payment shall be made in three (3) tranches: 30% upon execution of this Purchase Order, 40% upon successful completion of design and simulation deliverables (Items 1 and 2), and 30% upon final commissioning and handover of the O&M manual. All payments shall be made via bank transfer to the supplier's designated account in Nigeria Lagos.
  3. Timeline: The Mechanical Engineer and the supplier team shall commence work within five (5) business days of the date of this Purchase Order. The entire scope of work, including on-site supervision and commissioning, shall be completed within twenty (20) weeks from the commencement date.
  4. Quality and Compliance: All mechanical designs, calculations, and equipment supplied under this Purchase Order shall conform to the Nigerian Standards (SON), ASME, and ISO 9001:2015 quality management requirements. The Mechanical Engineer shall hold a valid EAPPB professional registration and a minimum of ten (10) years of relevant experience in industrial mechanical engineering.
  5. Insurance and Liability: The supplier shall maintain comprehensive professional indemnity insurance and public liability insurance with a minimum cover of NGN 50,000,000 for the duration of the project. The Mechanical Engineer shall be fully liable for any design errors or omissions that result in equipment failure or safety hazards at the Nigeria Lagos facility.
  6. Confidentiality: All technical data, drawings, proprietary information, and business strategies disclosed under this Purchase Order shall be treated as strictly confidential. The Mechanical Engineer and all personnel engaged by the supplier shall sign individual Non-Disclosure Agreements prior to commencing work.
  7. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the supplier shall be compensated for all work completed and materials procured up to the date of termination, subject to a final audit by the buyer's Mechanical Engineer representative.
  8. Force Majeure: Neither party shall be liable for delays or failures in performance caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or civil unrest in Nigeria Lagos, provided that the affected party notifies the other within forty-eight (48) hours of the occurrence.
AUTHORISATION AND ACCEPTANCE

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of Mechanical Engineer services in Nigeria Lagos. This document constitutes a binding commercial agreement between the parties.
