This Purchase Order is issued by Vostok Industrial Systems JSC for the engagement of qualified Mechanical Engineer professional services to be rendered at the Purchaser's manufacturing facility located in the Industrial District of Moscow, Russia. The Mechanical Engineer shall be responsible for the design, analysis, optimization, and quality assurance of mechanical systems, equipment, and production line components in accordance with Russian GOST standards and applicable international engineering norms.

The scope of work for the Mechanical Engineer encompasses, but is not limited to: the development of detailed mechanical drawings and technical specifications; the conduct of finite element analysis (FEA) on structural components; the supervision of fabrication and assembly processes at the Moscow production site; the preparation of technical documentation in compliance with Russian Federation regulatory requirements; and the provision of on-site engineering consultation to the Purchaser's operations team.

All prices are denominated in Russian Rubles (RUB) and are inclusive of the Mechanical Engineer's professional liability insurance as mandated for engineering services in the Russian Federation.

All services under this Purchase Order shall be performed at the Purchaser's primary manufacturing and engineering facility situated at 88 Shosse Entuziastov, Moscow, 109029, Russian Federation. The Mechanical Engineer shall report to the designated site office in Moscow no later than 08:30 Moscow Standard Time (MSK) on each scheduled working day. Travel, accommodation, and local transportation within the Moscow metropolitan area for the duration of the engagement shall be arranged and funded by the Purchaser in accordance with the internal travel policy of Vostok Industrial Systems JSC.

Payment for the Mechanical Engineering services described herein shall be made via bank transfer to the Supplier's designated account in Moscow, Russia, in accordance with the following schedule:

• 30% advance payment (RUB 2,160,000) within ten (10) business days of the mutual signing of this Purchase Order.
• 40% progress payment (RUB 2,880,000) upon completion and acceptance of the design and FEA deliverables, subject to written approval by the Purchaser's Chief Engineer in Moscow.
• 30% final payment (RUB 2,160,000) within fifteen (15) business days following the successful completion of all services and the submission of the final technical documentation package.

All invoices shall be issued in Russian in accordance with the requirements of the Federal Law on Accounting in the Russian Federation. Late payments shall accrue interest at the rate of 0.1% per calendar day as stipulated by Article 317.1 of the Civil Code of the Russian Federation.

1. Qualification Requirements: The Mechanical Engineer assigned to this Purchase Order shall hold a minimum of a Master's degree in Mechanical Engineering from an accredited institution recognized in the Russian Federation and shall possess no fewer than eight (8) years of professional experience in industrial mechanical design and manufacturing. The Mechanical Engineer must be registered with the relevant self-regulatory organization (SRO) for engineering activities in Russia.
2. Compliance: All deliverables produced by the Mechanical Engineer shall conform to applicable GOST, SNiP, and TR CU standards in force in the Russian Federation. The Supplier warrants that the Mechanical Engineer's work shall not infringe upon any intellectual property rights of third parties.
3. Confidentiality: The Mechanical Engineer and the Supplier shall maintain strict confidentiality regarding all proprietary technical data, manufacturing processes, and business information of the Purchaser encountered during the performance of services in Moscow. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
4. Health, Safety & Environment: The Mechanical Engineer shall comply with all occupational health and safety regulations applicable to industrial facilities in Moscow, Russia, including but not limited to the requirements of the Labor Code of the Russian Federation and local Moscow municipal safety ordinances.
5. Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Purchaser shall pay for all Mechanical Engineering services satisfactorily rendered up to the effective date of termination.
6. Governing Law and Dispute Resolution: This Purchase Order shall be governed by and construed in accordance with the laws of the Russian Federation. Any disputes arising from or in connection with this Purchase Order shall be resolved by the Arbitration Court of the City of Moscow, Russia.
7. Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order if such failure results from force majeure events as defined under Article 401 of the Civil Code of the Russian Federation, including but not limited to natural disasters, government sanctions, or pandemics affecting operations in Moscow.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order for the procurement of Mechanical Engineer services in Moscow, Russia. This Purchase Order constitutes a binding agreement effective from the date of the last signature below.
