This Purchase Order is issued by Iberia Industrial Solutions S.L. to Valencia Engineering & Design Bureau S.L. for the provision of specialised Mechanical Engineer services in connection with the design, analysis, and validation of industrial machinery components for a new manufacturing facility to be constructed in the Port of Valencia industrial zone. The Mechanical Engineer engaged under this Purchase Order shall be a fully qualified professional registered with the Colegio Oficial de Ingenieros Industriales de Valencia (COIIV) and shall possess a minimum of ten (10) years of professional experience in mechanical design, thermodynamics, fluid mechanics, and structural analysis relevant to heavy industrial applications.
All services rendered under this Purchase Order shall be performed in compliance with the applicable Spanish technical regulations, including the Real Decreto 1699/1997 on the safety of machinery, the European Machinery Directive 2006/42/EC as transposed into Spanish law, and all local building and industrial codes enforced by the Ayuntamiento de Valencia and the Generalitat Valenciana.

All prices are quoted in Euros (EUR). VAT is applied at the standard Spanish rate of 21% as per the Ley 37/1992 del Impuesto sobre el Valor Añadido. The supplier shall issue a factura electrónica compliant with the Verifactu system mandated by the Agencia Tributaria de la Comunidad Valenciana.
The Mechanical Engineer shall commence work no later than 1 July 2025 and shall complete all deliverables in accordance with the following milestones, all to be executed at the project site located in the Polígono Industrial de la Zona Franca, Valencia, Spain:

Payment shall be made by direct bank transfer (SEPA) to the supplier's designated account in a Spanish financial institution. Invoices shall be paid within thirty (30) calendar days from the date of receipt of a valid electronic invoice (factura electrónica). A 10% retention shall be withheld from each milestone payment and released in full upon final acceptance of all deliverables. Late payments shall accrue interest at the rate established by the Ley 3/2004 de lucha contra la morosidad en las operaciones comerciales.
- This Purchase Order is governed by the Spanish Civil Code (Código Civil) and the Ley de Contratos del Sector Público where applicable. Any disputes shall be resolved by the competent courts of Valencia, Spain, with express waiver of any other jurisdiction.
- The Mechanical Engineer shall maintain professional indemnity insurance with a minimum coverage of 500,000 EUR, valid throughout the duration of this Purchase Order, and shall provide a certificate of insurance upon request.
- All intellectual property rights in the designs, calculations, and documentation produced under this Purchase Order shall vest exclusively in Iberia Industrial Solutions S.L. upon full payment. The Mechanical Engineer shall execute any assignment documents required to perfect such transfer.
- The supplier shall comply with all applicable occupational health and safety regulations (Ley 31/1995 de Prevención de Riesgos Laborales) during any on-site work performed in Valencia.
- Confidentiality: All technical data, proprietary information, and project details shared under this Purchase Order shall be treated as strictly confidential and shall not be disclosed to any third party without prior written consent, in accordance with the Ley Orgánica 3/2018 de Protección de Datos Personales (LOPDGDD) and the EU General Data Protection Regulation (GDPR).
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics, provided that the affected party notifies the other within five (5) business days.
- This Purchase Order may be amended only by a written addendum signed by both parties. No oral modifications shall be binding.
- The supplier warrants that the Mechanical Engineer assigned to this Purchase Order shall be a duly registered professional with the relevant Spanish professional college and shall not be subject to any disciplinary proceedings that would impair the quality of the services rendered.
