This Purchase Order is issued by Saigon Industrial Solutions Co., Ltd. to engage qualified Mechanical Engineer professionals through Delta Engineering & Technical Consulting JSC for the design, review, and commissioning of mechanical systems at our new production facility located in Binh Tan District, Ho Chi Minh City, Vietnam. The Mechanical Engineer assigned under this Purchase Order shall possess a minimum of eight (8) years of professional experience in industrial mechanical design, hold a valid engineering license recognized by the Ministry of Science and Technology of Vietnam, and demonstrate proficiency in both English and Vietnamese technical documentation. All deliverables, including but not limited to P&ID diagrams, 3D CAD models, stress analysis reports, and equipment data sheets, must be submitted to the project manager in Ho Chi Minh City no later than the milestones specified in the attached project schedule. The Mechanical Engineer shall comply with all applicable Vietnamese building codes, fire safety regulations, and environmental standards enforced by the local authorities of Ho Chi Minh City.
TERMS AND CONDITIONS- This Purchase Order becomes effective upon written acceptance by the vendor and signature by both parties. The vendor shall confirm acceptance within five (5) business days of receipt of this Purchase Order.
- All services described in this Purchase Order shall be performed at the project site in Ho Chi Minh City, Vietnam, or at the vendor's registered office in District 1, Ho Chi Minh City, as mutually agreed upon by the project teams.
- The Mechanical Engineer(s) engaged under this Purchase Order shall be subject to the client's site safety protocols, including mandatory personal protective equipment (PPE) and induction training prior to commencing on-site work in Ho Chi Minh City.
- Payment shall be made in Vietnamese Dong (VND) via bank transfer to the vendor's designated account within thirty (30) calendar days from the date of a valid invoice, subject to satisfactory completion of the corresponding milestone deliverables.
- Any change in scope, additional Mechanical Engineer resources, or extension of the project timeline must be documented through a formal Purchase Order amendment signed by both parties. Verbal agreements shall not be binding.
- The vendor warrants that the Mechanical Engineer personnel assigned to this Purchase Order are properly qualified, insured, and in compliance with all labor laws of the Socialist Republic of Vietnam, including the Labor Code effective from 01 January 2025.
- Intellectual property rights for all designs, calculations, and documentation produced by the Mechanical Engineer under this Purchase Order shall vest exclusively with Saigon Industrial Solutions Co., Ltd. upon full payment.
- Disputes arising from this Purchase Order shall be resolved through negotiation, and if unresolved, through arbitration under the Vietnam International Arbitration Centre (VIAC) in Ho Chi Minh City, Vietnam.
- This Purchase Order is governed by the laws of the Socialist Republic of Vietnam. The venue for any legal proceedings shall be the competent court in Ho Chi Minh City.
- The vendor shall maintain professional liability insurance with a minimum coverage of VND 5,000,000,000 for the duration of this Purchase Order.
All deliverables under this Purchase Order shall be submitted electronically (PDF and native CAD formats) to the designated project inbox and physically (three (3) hard copies) to the project office at 128 Nguyen Van Linh Street, Binh Thanh District, Ho Chi Minh City. Acceptance of deliverables by the Mechanical Engineer's client representative shall be confirmed in writing within ten (10) business days of submission. Failure to respond within this period shall constitute deemed acceptance.
