This Purchase Order is issued by Nordique Industrial Automation Inc. (hereinafter referred to as the "Buyer") to formally request and authorize the procurement of professional engineering services rendered by a qualified Mechatronics Engineer engaged through Precision Mechatronics Solutions Ltd. (hereinafter referred to as the "Seller"). The services described herein are to be performed within the metropolitan region of Canada Montreal, specifically at the Buyer's manufacturing and research facility located in the industrial corridor of Montreal, Quebec. This Purchase Order constitutes a binding agreement between both parties upon full execution and shall govern all aspects of the engagement, including scope of work, compensation, deliverables, and compliance with applicable Canadian and Quebec provincial regulations.

The Seller shall provide the Buyer with the dedicated professional services of a senior Mechatronics Engineer possessing a minimum of ten (10) years of experience in the design, integration, testing, and maintenance of electromechanical systems. The Mechatronics Engineer shall be responsible for the following tasks at the Buyer's facility in Canada Montreal:

  • Design and development of automated production line components, including PLC programming, servo motor integration, and sensor array configuration for the Buyer's new assembly facility in Montreal.
  • Conducting comprehensive diagnostic assessments of existing mechatronic systems, identifying failure points, and implementing corrective engineering solutions to minimize operational downtime.
  • Supervising the installation and commissioning of a new robotic welding cell, ensuring full compliance with Canadian Electrical Code (CEC) standards and Quebec's Occupational Health and Safety Act (Loi sur la sécurité du travail).
  • Developing and maintaining technical documentation, including schematics, control logic diagrams, and operational manuals, to be stored at the Buyer's Montreal headquarters.
  • Providing on-site technical training to the Buyer's in-house maintenance team, consisting of no fewer than twelve (12) hours of structured instruction per month, conducted at the Canada Montreal facility.
  • Collaborating with the Buyer's R&D division on the prototyping of next-generation hybrid actuator systems intended for the North American market.

Payment shall be made in quarterly installments via electronic funds transfer (EFT) to the Seller's designated bank account in Montreal, Quebec. Invoices are due within thirty (30) calendar days of receipt. Late payments shall accrue interest at the rate of 1.5% per month, in accordance with the Quebec Civil Code.

  • Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes arising from this Purchase Order shall be resolved through arbitration in Montreal, Quebec, in accordance with the rules of the ADR Institute of Canada.
  • Confidentiality: The Mechatronics Engineer shall be bound by a strict non-disclosure agreement (NDA) covering all proprietary designs, trade secrets, and operational data encountered during the engagement at the Canada Montreal facility. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
  • Insurance: The Seller shall maintain comprehensive professional liability insurance with a minimum coverage of CAD $5,000,000 per occurrence, valid throughout the duration of the engagement in Canada Montreal.
  • Compliance: All work performed by the Mechatronics Engineer shall comply with applicable Canadian national standards (CSA), Quebec provincial regulations, and all relevant municipal bylaws of the City of Montreal.
  • Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of termination, the Buyer shall compensate the Seller for all services rendered up to the effective date of termination, plus reasonable demobilization costs.
  • Intellectual Property: All designs, schematics, and engineering deliverables produced specifically for the Buyer under this Purchase Order shall become the exclusive property of the Buyer upon full payment. The Mechatronics Engineer and the Seller retain no rights to reproduce or distribute such materials without prior written consent.
  • Force Majeure: Neither party shall be liable for delays or failures in performance resulting from events beyond reasonable control, including but not limited to natural disasters, pandemics, government-mandated shutdowns, or supply chain disruptions affecting the Canada Montreal region.

By signing below, both parties acknowledge that they have read, understood, and agree to all terms and conditions set forth in this Purchase Order. This document represents the complete and final agreement between the Buyer and the Seller regarding the procurement of Mechatronics Engineer services in Canada Montreal, and supersedes all prior negotiations, representations, or agreements, whether written or oral.
