2. Description of Purchase / Services Ordered

This Purchase Order is issued by Northwest Automation & Robotics Solutions Inc. (hereinafter referred to as the "Buyer") to Coastal Mechatronics Consulting Group Ltd. (hereinafter referred to as the "Vendor") for the engagement of a qualified Mechatronics Engineer to provide specialized design, integration, and commissioning services for an automated manufacturing line located in Canada Vancouver. The Mechatronics Engineer shall be responsible for the end-to-end development of electromechanical systems, programmable logic controller (PLC) programming, industrial robotics integration, sensor calibration, and control system architecture for the Buyer's new production facility situated at 4200 Industrial Road, Delta, Canada Vancouver metropolitan area, British Columbia.

The scope of work under this Purchase Order encompasses the Mechatronics Engineer's duties in designing hybrid electro-mechanical assemblies, developing HMI/SCADA interfaces, performing FMEA (Failure Mode and Effects Analysis) on all subsystems, and ensuring full compliance with Canadian Electrical Code (CEC) Part I, CSA standards, and applicable British Columbia Occupational Health and Safety regulations. The Mechatronics Engineer must hold a Professional Engineer (P.Eng.) license issued by the Association of Professional Engineers and Geoscientists of British Columbia (APEGBC) and possess a minimum of eight (8) years of progressive experience in industrial mechatronics within the Canada Vancouver region or equivalent North American markets.

4. Terms and Conditions
  1. Acceptance: This Purchase Order shall become a binding agreement upon written acceptance by the Vendor. The Vendor must return a signed copy of this Purchase Order within five (5) business days of receipt to confirm engagement of the Mechatronics Engineer.
  2. Performance Period: The Mechatronics Engineer shall commence work on or before July 1, 2025, and shall complete all deliverables no later than December 15, 2025, at the Buyer's facility in Canada Vancouver, British Columbia.
  3. Payment Schedule: Payment shall be made in four (4) equal installments of $126,476.00 CAD (inclusive of applicable taxes), due at 25% project milestones: (a) upon contract execution, (b) upon completion of system design, (c) upon successful commissioning, and (d) upon final acceptance and delivery of all documentation.
  4. Qualifications: The Mechatronics Engineer assigned to this Purchase Order must be a licensed P.Eng. in good standing with APEGBC and must provide proof of professional liability insurance with a minimum coverage of $5,000,000 CAD.
  5. Compliance: All work performed under this Purchase Order in Canada Vancouver shall comply with the Canada Labour Code, British Columbia Employment Standards Act, the Occupational Health and Safety Regulation (OHSR), and all applicable municipal bylaws of the City of Delta and the Greater Vancouver Regional District.
  6. Intellectual Property: All designs, code, documentation, and deliverables produced by the Mechatronics Engineer under this Purchase Order shall be the sole property of the Buyer upon full payment.
  7. Confidentiality: The Vendor and the Mechatronics Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data of the Buyer. This obligation shall survive termination of this Purchase Order for a period of five (5) years.
  8. Termination: Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the date of termination.
  9. Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any disputes shall be resolved through arbitration in Canada Vancouver under the rules of the British Columbia Arbitration Institute.
  10. Warranty: The Mechatronics Engineer warrants that all services rendered under this Purchase Order shall be performed in a professional and workmanlike manner, free from defects, for a period of twelve (12) months from the date of final acceptance.
