This Purchase Order is issued by Alexandria Industrial Automation Solutions S.A.E. to Delta Engineering & Technical Consultants Ltd. for the procurement of specialized professional services rendered by a qualified Mechatronics Engineer. The Mechatronics Engineer shall be engaged to design, develop, test, and commission integrated electromechanical and control systems for the buyer's manufacturing facility located in Egypt Alexandria. The scope of work encompasses the full lifecycle of mechatronic system integration, including but not limited to PLC programming, industrial robotics configuration, sensor and actuator calibration, SCADA system deployment, and predictive maintenance protocol development. All services under this Purchase Order shall be performed on-site at the buyer's premises in Egypt Alexandria unless otherwise agreed in writing by both parties.

The Mechatronics Engineer shall commence work on-site in Egypt Alexandria no later than 1 July 2025. The total engagement period under this Purchase Order is five (5) consecutive calendar months, concluding on 31 November 2025. Milestone deliverables shall be submitted bi-weekly to the buyer's project management office. Any extension of the engagement period must be authorized through a formal amendment to this Purchase Order, signed by both parties.

1. This Purchase Order is governed by the laws of the Arab Republic of Egypt, including the Egyptian Civil Code and applicable commercial regulations in force in Egypt Alexandria.
2. The Mechatronics Engineer assigned to this Purchase Order must hold a minimum of a Bachelor's degree in Mechatronics Engineering or a closely related discipline from an accredited Egyptian or internationally recognized university, with a minimum of eight (8) years of progressive professional experience in industrial automation and control systems.
3. All work performed under this Purchase Order shall comply with Egyptian Industrial Standards (Egy 2000) and applicable IEC/ISO international standards for mechatronic systems.
4. The supplier warrants that the Mechatronics Engineer shall maintain all necessary professional licenses, insurance coverage, and safety certifications required to perform duties within Egypt Alexandria industrial zones.
5. Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid tax invoice, subject to satisfactory completion of the corresponding milestone as verified by the buyer's quality assurance team.
6. Intellectual property generated specifically for the buyer under this Purchase Order shall vest in the buyer upon full payment. The supplier retains ownership of pre-existing proprietary methodologies and tools.
7. Either party may terminate this Purchase Order with thirty (30) days' written notice in the event of material breach. In such case, the buyer shall pay for all services satisfactorily rendered up to the termination date.
8. Disputes arising from this Purchase Order shall be resolved through amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the competent courts in Egypt Alexandria.
9. The supplier shall ensure that the Mechatronics Engineer adheres to all health, safety, and environmental protocols in effect at the buyer's Egypt Alexandria facility, including mandatory PPE usage and site induction training.
10. This Purchase Order constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, or agreements, whether written or oral.

By signing below, both parties acknowledge and accept all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Mechatronics Engineer services to be delivered in Egypt Alexandria. This document is executed in two (2) original copies, one for each party.
