This Purchase Order is issued by Nile Delta Industrial Automation S.A.E. (hereinafter referred to as the "Buyer") to Cairo Mechatronics Solutions & Consulting Ltd. (hereinafter referred to as the "Supplier") for the engagement of a qualified Mechatronics Engineer to provide specialized technical services at the Buyer's manufacturing facility located in the New Cairo Industrial Zone, Egypt Cairo. The scope of this Purchase Order encompasses the full-time professional services of a senior Mechatronics Engineer for a contract period of twelve (12) months, commencing on 1 August 2025 and concluding on 31 July 2026.
The Mechatronics Engineer engaged under this Purchase Order shall be responsible for the design, integration, testing, and maintenance of automated production lines combining mechanical systems, electronic control circuits, and embedded software. The Engineer shall operate exclusively within the Egypt Cairo operational zone, reporting directly to the Buyer's Plant Engineering Manager. All deliverables, technical documentation, and on-site work shall be conducted in compliance with Egyptian industrial standards (EGS) and the regulations set forth by the Egyptian Organization for Standardization and Quality (EOS).

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, specifically the Egyptian Civil Code (Law No. 131 of 1948) and the Egyptian Commercial Code. Any disputes arising from this Purchase Order shall be resolved through the competent courts in Egypt Cairo, specifically the Cairo Commercial Court.
- Qualification Requirements: The Mechatronics Engineer assigned under this Purchase Order must hold a minimum of a Bachelor's degree in Mechatronics Engineering or a closely related discipline from an accredited Egyptian or internationally recognized university, with a minimum of eight (8) years of progressive experience in industrial automation. The Engineer must possess valid professional registration with the Egyptian Engineers Syndicate (Cairo Branch) and hold a current professional practice license.
- Work Location: All services under this Purchase Order shall be performed at the Buyer's premises in New Cairo Industrial Zone, Egypt Cairo, or at such other locations within the Egypt Cairo metropolitan area as mutually agreed in writing. The Supplier shall bear all travel and transportation costs within the Egypt Cairo region.
- Payment Schedule: Payment shall be made in monthly installments of EGP 115,045.00 (inclusive of VAT) within thirty (30) calendar days of receipt of a valid tax invoice from the Supplier. The first payment shall be due upon successful commencement of the Mechatronics Engineer's services on 1 August 2025.
- Performance Standards: The Mechatronics Engineer shall adhere to all applicable Egyptian industrial safety regulations, environmental standards, and quality management requirements. All work products shall meet the specifications outlined in Annex A attached to this Purchase Order.
- Confidentiality: The Supplier and the assigned Mechatronics Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and technical data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of three (3) years.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. Termination shall not affect accrued payment obligations up to the date of termination.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government actions, or civil unrest affecting the Egypt Cairo region.
- Insurance: The Supplier shall maintain comprehensive professional liability insurance and workers' compensation coverage for the Mechatronics Engineer throughout the duration of this Purchase Order, with minimum coverage of EGP 5,000,000.00.
