This Purchase Order is issued by Addis Ababa Industrial Development Corporation to procure the professional services of a qualified Mechatronics Engineer for the design, integration, commissioning, and maintenance of automated manufacturing systems at the AAIDC production facility located in Ethiopia Addis Ababa. The engagement of the Mechatronics Engineer is critical to the modernization of the corporation's textile and light-industrial production lines, which require advanced integration of mechanical systems, electronic controls, embedded software, and industrial robotics.
The Mechatronics Engineer shall be responsible for the following deliverables within the project scope:
- Conduct a comprehensive systems audit of the existing production infrastructure at the Ethiopia Addis Ababa facility and produce a detailed technical assessment report.
- Design and develop a fully integrated mechatronic control system combining PLC-based automation, sensor networks, servo-driven mechanical actuators, and a supervisory SCADA interface.
- Program and configure all embedded firmware, HMI panels, and industrial communication protocols (Modbus TCP, PROFINET, and EtherCAT) required for seamless operation.
- Supervise the physical installation, wiring, and mechanical alignment of all mechatronic components on the production floor in Ethiopia Addis Ababa.
- Perform system commissioning, load testing, and performance validation in accordance with IEC 61508 functional safety standards.
- Provide a minimum of ninety (90) days of on-site technical support and preventive maintenance training for the AAIDC in-house engineering team.
- Deliver complete as-built documentation, including electrical schematics, mechanical drawings, software source code, and operational manuals.

All prices are quoted in Ethiopian Birr (ETB) and are inclusive of all local transportation within Ethiopia Addis Ababa. International travel, if required for specialized component sourcing, shall be billed separately with prior written approval from the Buyer.
Payment for this Purchase Order shall be made in the following installments via bank transfer to the Supplier's designated account at Commercial Bank of Ethiopia, Addis Ababa Branch:
- 30% Advance Payment (ETB 1,662,210.00): Due within ten (10) business days of the signed acceptance of this Purchase Order, prior to the commencement of the systems audit phase.
- 40% Progress Payment (ETB 2,216,280.00): Payable upon successful completion and Buyer sign-off of the system design, programming, and integration milestone.
- 20% Commissioning Payment (ETB 1,108,140.00): Payable upon successful commissioning, load testing, and formal acceptance of the mechatronic system at the Ethiopia Addis Ababa facility.
- 10% Retention (ETB 554,070.00): Payable upon expiry of the 90-day technical support and training period, subject to satisfactory performance review.

- This Purchase Order shall be governed by and construed in accordance with the laws of the Federal Democratic Republic of Ethiopia, including the Ethiopian Civil Code and applicable industrial and labor regulations.
- The Mechatronics Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Mechatronics Engineering or an equivalent discipline, with no fewer than eight (8) years of documented professional experience in industrial automation and control systems.
- All work performed under this Purchase Order shall be carried out at the Buyer's designated facility in Ethiopia Addis Ababa, and the Mechatronics Engineer shall comply with all site safety protocols, Ethiopian occupational health and safety regulations, and local municipal bylaws.
- The Supplier warrants that all designs, programs, and documentation delivered under this Purchase Order shall be original, free from intellectual property infringement, and shall transfer full ownership to the Buyer upon final payment.
- Any change in scope, timeline, or cost must be documented in a formal Change Order signed by both parties before implementation. No verbal modifications to this Purchase Order shall be binding.
- In the event of a dispute arising from this Purchase Order, both parties agree to first attempt resolution through amicable negotiation. Should negotiation fail within thirty (30) days, the matter shall be referred to the Ethiopian Arbitration and Conciliation Commission in Addis Ababa.
- The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of ETB 10,000,000 for the duration of the project, valid throughout Ethiopia Addis Ababa and the broader Ethiopian territory.
- This Purchase Order is valid for acceptance within fourteen (14) calendar days from the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
By signing below, both parties acknowledge and agree to all terms, conditions, and obligations set forth in this Purchase Order for the procurement of Mechatronics Engineer professional services to be executed in Ethiopia Addis Ababa.
