This Purchase Order is issued by Accra Industrial Automation Ltd. (hereinafter referred to as the "Buyer") to West African Mechatronics Solutions Ltd. (hereinafter referred to as the "Vendor") for the engagement of a qualified Mechatronics Engineer to provide specialized technical services at the Buyer's manufacturing facility located in Ghana Accra. The Mechatronics Engineer shall be responsible for the design, integration, commissioning, and ongoing maintenance of automated production lines, robotic assembly systems, and industrial control networks within the Buyer's premises.

The scope of work for the Mechatronics Engineer includes, but is not limited to: (a) conducting a full systems audit of existing PLC-controlled machinery; (b) designing and implementing a new SCADA monitoring system for the Ghana Accra production floor; (c) programming and calibrating servo-driven robotic arms for the packaging division; (d) providing on-site technical support for a minimum of five (5) working days per week; and (e) preparing comprehensive technical documentation and training materials for the Buyer's in-house maintenance team.

4.1 This Purchase Order is governed by the laws of the Republic of Ghana, including the Ghanaian Companies Act, 2019 (Act 992) and the Ghana Revenue Authority tax regulations applicable to service contracts in Ghana Accra.

4.2 The Mechatronics Engineer assigned to this contract must hold a minimum of a Bachelor's degree in Mechatronics Engineering, Mechanical Engineering, or Electrical/Electronic Engineering, with a minimum of seven (7) years of progressive experience in industrial automation. The Vendor shall provide a certified copy of the engineer's credentials and professional registration with the Engineering Council of Ghana prior to commencement of work.

4.3 All work shall be performed at the Buyer's facility located at Plot 14, Spintex Road, East Legon, Ghana Accra, unless otherwise agreed in writing. The Mechatronics Engineer shall comply with all site safety protocols, including but not limited to the Ghana Labour Act, 2003 (Act 651) provisions on occupational health and safety.

4.4 Payment shall be made in Ghanaian Cedis (GHS) via bank transfer to the Vendor's designated account. Invoices shall be submitted monthly, and payment shall be processed within thirty (30) calendar days of receipt of a valid invoice. Late payments shall attract interest at the rate prescribed by the Bank of Ghana.

4.5 The Vendor warrants that all services rendered by the Mechatronics Engineer shall be performed in a professional, workmanlike manner and in accordance with international standards, including IEC 61508 (Functional Safety), IEC 62443 (Industrial Network Security), and applicable Ghana Standards Authority (GSA) specifications.

4.6 Intellectual property developed specifically for the Buyer under this Purchase Order, including all PLC code, SCADA configurations, and system designs, shall vest in the Buyer upon full payment. The Vendor retains the right to use general methodologies and pre-existing tools.

4.7 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered up to the date of termination, less any costs saved.

4.8 The Vendor shall maintain comprehensive professional indemnity and public liability insurance with a minimum cover of GHS 5,000,000 for the duration of the contract, valid in Ghana Accra and throughout the Republic of Ghana.

4.9 Disputes arising from this Purchase Order shall be resolved through mediation in Accra, Ghana, in accordance with the Mediation Act, 2010 (Act 814). If mediation fails, disputes shall be referred to arbitration under the Ghana Arbitration Act, 2005 (Act 698).

The Mechatronics Engineer shall commence on-site work at the Ghana Accra facility no later than 1 July 2025. A detailed project milestone schedule, including deliverable dates for each line item, shall be submitted by the Vendor within seven (7) working days of acceptance of this Purchase Order. The full scope of work is expected to be completed within twelve (12) months from the commencement date.

This Purchase Order is issued subject to the Buyer's internal procurement approval. By signing below, both parties acknowledge and agree to the terms, conditions, and scope of work outlined in this document.

This Purchase Order (PO-AIA-2025-0047) constitutes a binding agreement between the parties upon execution. All communications regarding this Purchase Order, the Mechatronics Engineer engagement, and project activities in Ghana Accra shall be directed to the procurement department of Accra Industrial Automation Ltd. at the address stated above. This document is issued in two (2) original copies, one for each party.
