This Purchase Order is issued by TechBridge Industrial Solutions Ltd. to procure the professional services of a qualified Mechatronics Engineer for the duration of the Baghdad Industrial Automation Upgrade Project. The Mechatronics Engineer shall be responsible for the design, integration, commissioning, and ongoing maintenance of electromechanical systems, programmable logic controllers (PLCs), industrial robotics, and sensor networks at the client's manufacturing facility located in the Sinaa Industrial Zone, Iraq Baghdad. The scope of work encompasses the full lifecycle of mechatronic systems, from initial feasibility studies and system architecture design through to final handover, operator training, and a twelve-month post-commissioning support period.

1. This Purchase Order is governed by the commercial laws of the Republic of Iraq. Any disputes arising from this Purchase Order shall be resolved through arbitration in Baghdad, Iraq, in accordance with the rules of the Iraqi Centre for Arbitration.
2. The Mechatronics Engineer and all supporting personnel assigned under this Purchase Order must hold valid work permits and residency documentation as required by the Ministry of Labour and Social Affairs, Iraq. The vendor (AMAS Co.) is solely responsible for obtaining and maintaining all such permits prior to commencement of work in Iraq Baghdad.
3. Work shall commence on 1 July 2025 at the client's facility in the Sinaa Industrial Zone, Baghdad. The initial project duration is three (3) months, extendable by mutual written agreement. The Mechatronics Engineer must be physically present at the Iraq Baghdad site no fewer than five (5) working days per week.
4. Payment shall be made in United States Dollars (USD) via bank transfer to the account specified above. Invoices must be submitted at the end of each calendar month. Payment is due within thirty (30) days of receipt of a valid invoice. Late payments shall attract interest at the rate of 1.5% per month.
5. The Mechatronics Engineer shall comply with all applicable Iraqi industrial safety regulations, including those issued by the Ministry of Industry and Mineral Resources. All on-site work in Iraq Baghdad must adhere to OSHA-equivalent safety standards as adopted by local authorities.
6. Intellectual property developed specifically for the client under this Purchase Order shall vest in TechBridge Industrial Solutions Ltd. upon full payment. The Mechatronics Engineer and AMAS Co. retain ownership of pre-existing proprietary methods and tools.
7. This Purchase Order may be terminated by either party with thirty (30) days' written notice. In the event of termination, the client shall pay for all services rendered up to the termination date, including reasonable demobilisation costs for the Mechatronics Engineer team.
8. The vendor warrants that the Mechatronics Engineer assigned to this Purchase Order holds a minimum of a Bachelor's degree in Mechatronics Engineering (or equivalent) and possesses no fewer than eight (8) years of progressive experience in industrial automation, robotics, and electromechanical systems design.
9. All deliverables, including design documents, PLC code, HMI screens, and as-built drawings, must be submitted in both English and Arabic to satisfy regulatory requirements in Iraq Baghdad.
10. This Purchase Order is valid for acceptance within thirty (30) days of the date of issue. Failure to accept within this period shall render this Purchase Order null and void.
