This Purchase Order is issued by Tel Aviv Advanced Robotics & Automation Ltd. to Negev Precision Engineering & Consulting Group for the engagement of a qualified Mechatronics Engineer to provide specialized design, integration, and commissioning services for an automated manufacturing line located in the industrial zone of Israel Tel Aviv. The Mechatronics Engineer shall be responsible for the complete mechanical, electrical, and software integration of the production system, including PLC programming, sensor calibration, robotic arm configuration, and SCADA system deployment. All work shall be performed on-site at the buyer's facility in Israel Tel Aviv unless otherwise agreed in writing by both parties.

Payment shall be made in New Israeli Shekels (ILS) via bank transfer to the supplier's designated account. Invoices shall be submitted upon completion of each milestone as outlined in Section 5. Payment is due within thirty (30) calendar days from the date of invoice receipt. A late payment penalty of 1.5% per month shall apply to overdue balances. The total value of this Purchase Order is ILS 763,460.00 inclusive of VAT. No advance payment is required; however, the buyer reserves the right to request a 10% mobilization deposit upon written confirmation of the Mechatronics Engineer's availability and onboarding at the Israel Tel Aviv facility.

7.1 This Purchase Order is governed by the laws of the State of Israel. Any disputes arising from this agreement shall be subject to the exclusive jurisdiction of the competent courts in Israel Tel Aviv.
7.2 The Mechatronics Engineer engaged under this order must hold a valid B.Sc. or M.Sc. in Mechatronics, Electrical Engineering, or a closely related discipline, and must possess a minimum of eight (8) years of professional experience in industrial automation and robotics.
7.3 The supplier warrants that the Mechatronics Engineer shall comply with all applicable Israeli labor laws, occupational health and safety regulations (including those enforced by the Israeli Ministry of Health and the National Insurance Institute), and site-specific safety protocols at the Israel Tel Aviv facility.
7.4 All intellectual property, designs, code, and documentation produced by the Mechatronics Engineer in the course of fulfilling this Purchase Order shall become the sole property of the buyer upon full payment.
7.5 The supplier shall maintain professional liability insurance with a minimum coverage of ILS 2,000,000 for the duration of the engagement.
7.6 Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the buyer shall pay for all services rendered up to the termination date as certified by the Mechatronics Engineer's timesheets.
7.7 The supplier shall not subcontract any portion of the Mechatronics Engineer services without prior written consent from the buyer.
7.8 All communications regarding this Purchase Order shall be conducted in English or Hebrew and directed to the contact persons listed in Sections 1 and 2.
