This Purchase Order is issued by Tecnomec S.r.l. to Engineering Talent Solutions S.r.l. for the provision of a qualified Mechatronics Engineer to be deployed at our primary facility located in Italy Milan. The Mechatronics Engineer shall be responsible for the design, development, integration, and maintenance of electromechanical systems, industrial robotics platforms, and automated production lines within the Advanced Automation Division. The engagement is structured as a professional services contract for a period of twelve (12) months, commencing on 1 September 2025, with the possibility of renewal subject to mutual agreement and performance evaluation.

Payment shall be made via bank transfer to the vendor's designated account in accordance with the following schedule: 30% upon execution of this Purchase Order, 40% upon successful onboarding and first 90-day performance milestone, and 30% upon completion of the 12-month contract term. All payments are subject to the vendor's submission of valid Italian VAT invoices (fattura elettronica) compliant with the Agenzia delle Entrate electronic invoicing system. Late payments shall accrue interest at the rate prescribed by Italian Legislative Decree 231/2002.

1. This Purchase Order is governed by the laws of the Italian Republic. Any disputes arising from this agreement shall be resolved by the competent courts of Milan, Italy.
2. The Mechatronics Engineer shall comply with all safety regulations, data protection requirements (GDPR and Italian Privacy Code D.Lgs. 196/2003), and internal company policies of Tecnomec S.r.l. at the Italy Milan site.
3. The vendor warrants that the Mechatronics Engineer possesses a minimum of eight (8) years of professional experience in mechatronic systems, industrial automation, and robotics, and holds a recognized engineering degree (Laurea Magistrale in Ingegneria Meccatronica or equivalent).
4. All intellectual property, technical documentation, and system designs produced by the Mechatronics Engineer during the term of this contract shall be the exclusive property of Tecnomec S.r.l.
5. The vendor shall maintain full professional liability insurance (RC Professionale) with a minimum coverage of EUR 2,000,000 for the duration of the engagement.
6. Either party may terminate this Purchase Order with sixty (60) days' written notice. In such case, payment shall be pro-rated based on services rendered up to the termination date.
7. The Mechatronics Engineer shall not be engaged in any competing activity or disclose confidential information pertaining to Tecnomec S.r.l.'s proprietary systems, processes, or client data, both during and for two (2) years following the conclusion of this contract.
8. This Purchase Order constitutes the entire agreement between the parties regarding the engagement of the Mechatronics Engineer and supersedes all prior negotiations, representations, or agreements.
