The Mechatronics Engineer shall be responsible for the design, integration, commissioning, and ongoing maintenance of automated production lines, robotic systems, and embedded control units within the Buyer's operations in Italy Naples.

The Mechatronics Engineer engaged under this Purchase Order must hold a minimum of a Master's degree in Mechatronics Engineering, Mechanical Engineering, or Electrical Engineering, with at least eight (8) years of progressive professional experience in industrial automation, PLC programming, SCADA systems, and robotic integration. The Mechatronics Engineer shall be physically present at the Buyer's site in Italy Naples for a minimum of five (5) working days per week, Monday through Friday, between the hours of 08:00 and 17:00, with flexibility for overtime as required by project milestones.

1. Scope of Work: The Supplier shall provide a fully qualified Mechatronics Engineer team as described in this Purchase Order. All work shall be performed at the Buyer's premises in Italy Naples, specifically at the Via Toledo 185 industrial complex. The Mechatronics Engineer shall comply with all Italian labor regulations, safety standards (D.Lgs. 81/2008), and site-specific protocols.
2. Payment Terms: Payment shall be made in monthly installments of 1/6th of the total contract value, due within thirty (30) days of receipt of a valid invoice from the Supplier. The first payment shall be due upon successful onboarding of the Mechatronics Engineer in Italy Naples. Late payments shall accrue interest at the rate of 1.5% per month as stipulated under Italian commercial law.
3. Performance and KPIs: The Mechatronics Engineer shall be evaluated monthly against predefined Key Performance Indicators, including system uptime (minimum 98.5%), defect rate reduction, and on-time delivery of engineering deliverables. Failure to meet KPIs for two consecutive months shall entitle the Buyer to issue a formal notice under this Purchase Order.
4. Intellectual Property: All designs, code, schematics, and technical documentation produced by the Mechatronics Engineer during the term of this Purchase Order shall be the exclusive property of the Buyer. 5. Confidentiality: The Supplier and the Mechatronics Engineer shall maintain strict confidentiality regarding all proprietary information, trade secrets, and operational data of the Buyer. This obligation shall survive the termination of this Purchase Order for a period of five (5) years.
6. Termination: Either party may terminate this Purchase Order with sixty (60) days' written notice. In the event of material breach, the non-breaching party may terminate immediately upon written notice. 7. Governing Law and Jurisdiction: This Purchase Order shall be governed by and construed in accordance with the laws of the Italian Republic. Any disputes arising from or in connection with this Purchase Order shall be subject to the exclusive jurisdiction of the competent courts of Naples, Italy.
8. Insurance: The Supplier shall maintain comprehensive professional liability insurance and workers' compensation coverage for the Mechatronics Engineer personnel deployed in Italy Naples for the full duration of this Purchase Order.
