This Purchase Order is issued by Kyoto Advanced Manufacturing Consortium K.K. (hereinafter referred to as the "Buyer") to formally request and authorize the engagement of a qualified Mechatronics Engineer to perform specialized engineering services at the Buyer's primary operational facility located in Japan Kyoto. The Mechatronics Engineer shall be responsible for the design, integration, testing, and commissioning of automated production systems, robotic assembly lines, and embedded control systems within the Buyer's manufacturing plant situated in the Nakagyo-ku district of Kyoto, Japan.
The scope of work for the Mechatronics Engineer under this Purchase Order includes, but is not limited to: the development of PLC-based control architectures for multi-axis robotic cells; the programming and calibration of servo-driven actuator systems; the integration of sensor networks (proximity, vision, and force-feedback) into the existing production infrastructure; the design of pneumatic and hydraulic sub-assemblies; the creation of HMI/SCADA interfaces for real-time monitoring; and the execution of FAT (Factory Acceptance Testing) and SAT (Site Acceptance Testing) protocols in accordance with JIS B 8433 and ISO 10218 standards applicable to industrial robotics in Japan Kyoto.

The Mechatronics Engineer shall commence on-site duties at the Buyer's facility in Japan Kyoto no later than 1 August 2025. The Seller is required to confirm the identity, qualifications, and availability of the assigned Mechatronics Engineer in writing within ten (10) business days of acceptance of this Purchase Order. The Mechatronics Engineer must hold a minimum of a Bachelor's degree in Mechatronics, Mechanical Engineering, or Electrical Engineering, possess at least eight (8) years of progressive experience in industrial automation, and demonstrate proficiency in Japanese (JLPT N2 or above) to facilitate effective communication with the local workforce in Japan Kyoto.
Payment for this Purchase Order shall be made in monthly installments corresponding to the Professional Fee line item. Each monthly payment is due within thirty (30) days of the Seller's invoice submission. The lump-sum items (Items 3, 4, 5, and 6) shall be invoiced and settled upon completion and written acceptance by the Buyer's Project Manager. All payments shall be made via bank transfer to the Seller's designated account in Japanese Yen (JPY). Late payments shall incur interest at a rate of 1.5% per month as stipulated under the Japanese Commercial Transactions Act.
Important Note: This Purchase Order is governed by the laws of Japan. Any disputes arising from the interpretation or execution of this Purchase Order related to the Mechatronics Engineer's services in Japan Kyoto shall be subject to the exclusive jurisdiction of the Kyoto District Court. Both parties agree to attempt good-faith mediation before initiating litigation.
- The Seller warrants that the Mechatronics Engineer assigned under this Purchase Order shall comply with all applicable Japanese labor laws, occupational safety regulations (Safety and Health Act), and industry-specific standards relevant to the Japan Kyoto manufacturing sector.
- The Buyer shall provide the Mechatronics Engineer with reasonable access to the facility, necessary tools, test equipment, and project documentation located at the Japan Kyoto site to enable the performance of the contracted services.
- Intellectual property developed by the Mechatronics Engineer specifically for the Buyer during the term of this Purchase Order shall be the sole property of the Buyer upon full payment. The Seller retains ownership of pre-existing proprietary methods and tools.
- Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall pay for all services rendered and materials procured up to the effective date of termination.
- The Seller shall maintain comprehensive professional liability insurance with a minimum coverage of ¥500,000,000 for the duration of the Mechatronics Engineer's engagement in Japan Kyoto.
- Confidentiality obligations under a separate Non-Disclosure Agreement (NDA) executed concurrently with this Purchase Order shall remain in force for five (5) years following the completion of services.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Mechatronics Engineer to perform engineering services at the designated facility in Japan Kyoto. This document constitutes a binding commercial agreement upon execution by both authorized representatives.
