This Purchase Order is issued by Kansai Advanced Robotics & Automation Co., Ltd. (hereinafter referred to as "the Buyer") to procure the professional services and specialized equipment of a certified Mechatronics Engineer for deployment at the Buyer's primary manufacturing and R&D facility located in Japan Osaka. The scope of this Purchase Order encompasses the engagement of a senior Mechatronics Engineer to oversee the integration, calibration, and commissioning of advanced robotic assembly lines, industrial control systems, and embedded automation modules within the Buyer's production environment in Japan Osaka. All deliverables, technical documentation, and on-site support associated with this Purchase Order shall be executed in accordance with Japanese industrial standards (JIS) and the specific operational requirements of the Japan Osaka facility.

All physical equipment listed under this Purchase Order shall be delivered to the Buyer's designated receiving dock at the Kansai Advanced Robotics & Automation facility, 14-2 Nakanoshima, Kita-ku, Japan Osaka, 530-0001. The Supplier is responsible for all international shipping, customs clearance in Japan, and final-mile delivery to the Japan Osaka site. The Mechatronics Engineer assigned under this Purchase Order shall arrive in Japan Osaka no later than August 1, 2025, to commence on-site integration work. The Supplier shall provide valid work visas, residence cards, and all necessary immigration documentation for the Mechatronics Engineer to legally perform professional services within Japan Osaka in compliance with the Immigration Services Act of Japan.
4.1 This Purchase Order is governed by the laws of Japan and the United Nations Convention on Contracts for the International Sale of Goods (CISG) where applicable. Any disputes arising from this Purchase Order shall be resolved through arbitration in Japan Osaka under the rules of the Japan Commercial Arbitration Association (JCAA).
4.2 The Mechatronics Engineer engaged under this Purchase Order shall adhere to all safety regulations enforced by the Ministry of Health, Labour and Welfare (MHLW) of Japan and shall comply with the specific site safety protocols of the Japan Osaka facility, including but not limited to lockout/tagout procedures, electrical safety standards (JIS C 8301), and machine safety directives.
4.3 The Supplier warrants that the Mechatronics Engineer possesses a minimum of ten (10) years of professional experience in mechatronic system design, industrial robotics, and embedded control engineering, and holds recognized certifications including but not limited to PE (Professional Engineer) in Mechanical or Electrical Engineering, or equivalent Japanese national qualification (Kogaku / Denki Gijutsushi).
4.4 All intellectual property developed specifically for the Buyer during the execution of this Purchase Order in Japan Osaka shall remain the sole property of the Buyer. The Mechatronics Engineer shall sign a non-disclosure agreement (NDA) and intellectual property assignment document prior to commencing work at the Japan Osaka site.
4.5 Payment shall be made via bank transfer to the Supplier's designated account in Japanese Yen (JPY) within forty-five (45) calendar days of receipt of a valid invoice. Late payments shall incur interest at a rate of 1.5% per month as stipulated under the Japanese Late Payment of Compensation Act.
4.6 The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of JPY 500,000,000 for the duration of the Mechatronics Engineer's engagement in Japan Osaka.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order for the engagement of the Mechatronics Engineer and associated equipment delivery to the Japan Osaka facility.
