The Mechatronics Engineer shall be responsible for the design, integration, commissioning, and ongoing maintenance of automated production lines, robotic assembly systems, and industrial control networks within the Salmiya Industrial Zone premises. The scope of engagement encompasses the full lifecycle of mechatronic systems, including PLC programming, sensor calibration, actuator diagnostics, SCADA interface configuration, and predictive maintenance scheduling. The Mechatronics Engineer must hold a minimum of a Bachelor's degree in Mechatronics Engineering, Mechanical Engineering, or Electrical Engineering with a specialization in automation, and possess no fewer than seven (7) years of progressive experience in industrial mechatronic systems.

- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the State of Kuwait, including the Kuwaiti Commercial Companies Law and the Labour Law applicable to professional and technical workers stationed in Kuwait, Kuwait City.
- Commencement Date: The Mechatronics Engineer shall report for duty no later than 1 August 2025 at the designated facility in Kuwait, Kuwait City. A grace period of five (5) working days shall be permitted for initial site familiarization and safety induction.
- Payment Terms: Payment shall be made in monthly installments via bank transfer to the account designated by the Supplier. Invoices must be submitted by the 5th of each month for the preceding month's services. A 30-day payment window applies from the date of invoice receipt. Late payments shall accrue interest at 2% per month as stipulated under Kuwaiti commercial practice.
- Work Location: All services under this Purchase Order shall be performed exclusively at the Buyer's premises in Kuwait, Kuwait City, unless prior written authorization is granted for off-site work. The Mechatronics Engineer is expected to be physically present at the Kuwait City facility for a minimum of 48 hours per week.
- Qualifications and Compliance: The Mechatronics Engineer must hold a valid Kuwaiti work permit, professional license, and all necessary civil documentation. The Supplier warrants that the Mechatronics Engineer meets all statutory requirements for employment in the State of Kuwait and shall bear full responsibility for visa sponsorship, medical clearance, and insurance coverage.
- Intellectual Property: All designs, programs, schematics, and technical documentation produced by the Mechatronics Engineer during the term of this Purchase Order shall be the exclusive property of the Buyer. The Mechatronics Engineer shall sign a non-disclosure and intellectual property assignment agreement prior to commencing work in Kuwait, Kuwait City.
- Termination: Either party may terminate this Purchase Order with thirty (30) days' written notice. In the event of termination, the Buyer shall compensate the Supplier for all services rendered up to the effective date of termination, less any applicable deductions.
- Dispute Resolution: Any dispute arising from or in connection with this Purchase Order shall first be subject to amicable negotiation. Failing resolution within thirty (30) days, the matter shall be referred to the competent courts in Kuwait, Kuwait City, or to arbitration under the rules of the Kuwait Dispute Resolution Centre.
- Force Majeure: Neither party shall be liable for failure to perform obligations under this Purchase Order due to events beyond reasonable control, including but not limited to natural disasters, government sanctions, or public health emergencies affecting operations in Kuwait, Kuwait City.
- Confidentiality: Both parties agree to maintain strict confidentiality regarding all commercial terms, technical data, and operational details disclosed in connection with this Purchase Order for a period of three (3) years following the conclusion of the engagement.
By signing below, both parties acknowledge and agree to all terms, conditions, and specifications outlined in this Purchase Order. The Buyer confirms its commitment to engage the Mechatronics Engineer for the duration and scope described herein, and the Supplier confirms its ability to deliver the qualified Mechatronics Engineer to the designated site in Kuwait, Kuwait City in full compliance with all applicable Kuwaiti regulations and industry standards.
