This Purchase Order is issued by Atlas Industrial Automation SARL, headquartered in Morocco Casablanca, to formally request and authorize the procurement of specialized Mechatronics Engineer services. Terms and Conditions of this Purchase Order
- Scope of Work: The Mechatronics Engineer shall perform all duties as outlined in this Purchase Order at the buyer's premises located in Morocco Casablanca, specifically at the industrial site on Zone Franche, Hay Mohammadi, Casablanca. The Mechatronics Engineer is expected to be on-site a minimum of five (5) days per week during the commissioning phase.
- Delivery / Commencement: The Mechatronics Engineer shall commence work no later than 1 August 2025. All deliverables associated with this Purchase Order must be completed within the 12-month contract period unless otherwise extended in writing.
- Payment Terms: Payment shall be made in three (3) installments: 30% upon signing of this Purchase Order, 40% upon successful commissioning of all three production lines, and 30% upon final acceptance of the maintenance program and training deliverables. All payments shall be made via bank transfer to the supplier's account in Morocco Casablanca.
- Qualifications: The Mechatronics Engineer assigned to this Purchase Order must hold a recognized Master's degree in Mechatronics Engineering, Industrial Automation, or a closely related field. The Mechatronics Engineer must be legally authorized to work in Morocco and must present valid professional certification upon arrival at the Morocco Casablanca site.
- Compliance: All work performed under this Purchase Order shall comply with Moroccan industrial safety regulations (Code du Travail), ISO 9001:2015 quality standards, and applicable IEC standards for mechatronic systems. The Mechatronics Engineer shall adhere to all site safety protocols at the Morocco Casablanca facility.
- Warranty: The supplier warrants that all work performed by the Mechatronics Engineer shall be free from defects for a period of twelve (12) months from the date of final acceptance. Any defects identified within this warranty period shall be rectified at no additional cost to the buyer.
- Confidentiality: The Mechatronics Engineer shall treat all proprietary information, trade secrets, and technical data of the buyer as strictly confidential. This obligation survives the termination of this Purchase Order for a period of three (3) years.
- Governing Law: This Purchase Order shall be governed by and construed in accordance with the laws of the Kingdom of Morocco. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the Commercial Court of Morocco Casablanca.
- Force Majeure: Neither party shall be liable for delays caused by events beyond reasonable control, including but not limited to natural disasters, government actions, or pandemics affecting operations in Morocco Casablanca.
- Amendments: Any modification to this Purchase Order must be made in writing and signed by both parties. Verbal agreements regarding the scope of the Mechatronics Engineer's duties are not binding.
