This Purchase Order is issued by Amsterdam Industrial Systems B.V. to procure the professional services of a qualified Mechatronics Engineer to be deployed at the company's primary manufacturing and R&D facility located in Netherlands Amsterdam. The Mechatronics Engineer will be responsible for the design, integration, testing, and maintenance of electromechanical systems, automated production lines, and embedded control systems within the facility. The scope of work encompasses mechanical design, electrical engineering, software programming for PLCs and microcontrollers, sensor integration, robotics programming, and predictive maintenance of industrial automation equipment.

The Mechatronics Engineer must hold a minimum of a Master's degree in Mechatronics Engineering, Mechanical Engineering, or a closely related discipline from an accredited institution. A minimum of five (5) years of progressive professional experience in industrial automation, robotics, or electromechanical system design is required. The candidate must demonstrate proficiency in CAD software (SolidWorks, AutoCAD), PLC programming (Siemens TIA Portal, Allen-Bradley Studio 5000), SCADA systems, and embedded C/C++ development. Fluency in English is mandatory; working proficiency in Dutch is considered a significant advantage given the operational environment in Netherlands Amsterdam.

4.1 This Purchase Order is governed by the laws of the Netherlands. Any disputes arising from this Purchase Order shall be subject to the exclusive jurisdiction of the courts of Amsterdam, Netherlands.

4.2 The Mechatronics Engineer shall comply with all applicable Dutch labor regulations, occupational health and safety standards (Arbowet), and the specific site safety protocols of Amsterdam Industrial Systems B.V. in Netherlands Amsterdam.

4.3 All intellectual property, designs, code, and documentation produced by the Mechatronics Engineer during the term of this Purchase Order shall be the sole property of Amsterdam Industrial Systems B.V.

4.4 The supplier shall maintain professional indemnity insurance with a minimum coverage of EUR 2,000,000 and public liability insurance of EUR 1,000,000 for the duration of the contract.

4.5 Payment shall be made via bank transfer to the supplier's designated account within thirty (30) calendar days of receipt of a valid invoice. Late payments shall accrue interest at the statutory Dutch rate.

4.6 Either party may terminate this Purchase Order with a written notice period of sixty (60) days. In the event of termination, the supplier shall ensure a smooth transition of all ongoing Mechatronics Engineer tasks and deliver all work-in-progress documentation.

4.7 The supplier is responsible for the employment, payroll, social security contributions, and any applicable Dutch tax obligations of the Mechatronics Engineer. Amsterdam Industrial Systems B.V. shall not be liable for any employment-related claims.

4.8 The Mechatronics Engineer shall be required to attend weekly progress meetings at the Netherlands Amsterdam facility and submit monthly performance reports to the Project Manager.

This Purchase Order becomes effective upon written acceptance by both parties. The supplier shall confirm acceptance by signing below and returning a copy to the issuing company within five (5) business days of receipt.

This Purchase Order (PO-2025-AM-0487) is a controlled document. Unauthorized reproduction or distribution is prohibited. All references to the Mechatronics Engineer role and the Netherlands Amsterdam operational site are binding components of this agreement.
