This Purchase Order is issued by Auckland Industrial Automation Ltd. to Meridian Mechatronics Solutions Ltd. for the engagement of a qualified Mechatronics Engineer to provide comprehensive design, integration, testing, and commissioning services for an automated manufacturing line located in the New Zealand Auckland region. The Mechatronics Engineer shall be responsible for the end-to-end delivery of electromechanical systems, programmable logic controller (PLC) programming, industrial robotics integration, sensor networks, and human-machine interface (HMI) development as specified in the attached Scope of Work (Appendix A).

The Mechatronics Engineer must hold a minimum of a Bachelor of Engineering (Mechatronics) degree from a New Zealand accredited institution or an equivalent overseas qualification recognised by Engineers New Zealand. A minimum of eight (8) years of progressive experience in industrial automation within the New Zealand Auckland manufacturing sector is required. The engineer must demonstrate proficiency in Siemens TIA Portal, Allen-Bradley Studio 5000, and ROS 2 frameworks, as well as hands-on experience with KUKA and FANUC robotic platforms.

The Mechatronics Engineer team engaged under this Purchase Order shall deliver the following milestones within the New Zealand Auckland project site at 240 K'Road, Penrose, Auckland 1061:

  • Month 1–2: System requirements analysis, preliminary design, and selection of electromechanical components. All design documentation shall comply with AS/NZS 3000 (Wiring Rules) and AS/NZS 3012 (Electrical Installations).
  • Month 3–5: Detailed engineering design, PLC and HMI development, and robotic cell programming. Weekly progress reports to be submitted to the Auckland Industrial Automation project manager.
  • Month 6–8: Fabrication oversight, component procurement coordination, and on-site installation at the New Zealand Auckland facility.
  • Month 9–10: System integration, factory acceptance testing (FAT), and site acceptance testing (SAT) conducted at the Penrose site.
  • Month 11–12: Commissioning, operator training (minimum 40 hours), and full handover including as-built documentation, spare parts list, and maintenance manuals.
  1. This Purchase Order is governed by the laws of New Zealand. Any disputes arising from this Purchase Order shall be resolved in the District Court of Auckland, New Zealand.
  2. The Mechatronics Engineer personnel assigned to this contract must hold valid New Zealand work visas or residency permits. Meridian Mechatronics Solutions Ltd. warrants that all personnel are legally authorised to work in New Zealand Auckland.
  3. Payment shall be made via bank transfer to the account nominated by the vendor within thirty (30) calendar days of receipt of a valid tax invoice. Late payments shall accrue interest at the rate prescribed under the New Zealand Commerce Act 1986.
  4. The vendor shall maintain comprehensive public liability insurance of no less than NZD 20,000,000 and professional indemnity insurance of no less than NZD 10,000,000 for the duration of this Purchase Order.
  5. All work performed under this Purchase Order must comply with the New Zealand Health and Safety at Work Act 2015. The Mechatronics Engineer team shall adhere to the site-specific safety management plan provided by Auckland Industrial Automation Ltd.
  6. Intellectual property developed specifically for this project under this Purchase Order shall vest in Auckland Industrial Automation Ltd. upon full payment. General methodologies and pre-existing tools remain the property of Meridian Mechatronics Solutions Ltd.
  7. Either party may terminate this Purchase Order with thirty (30) days written notice. In the event of termination for convenience, the vendor shall be compensated for work completed and non-cancellable commitments incurred up to the date of termination.
  8. All deliverables shall be submitted in electronic format (PDF and native CAD/PLC files) to the project management office in New Zealand Auckland.

This Purchase Order becomes binding upon signature by both parties. The Mechatronics Engineer services described herein shall commence no earlier than the date specified above and shall be conducted in accordance with all applicable New Zealand regulations, including the Building Act 2004, the Electricity Act 1992, and local Auckland Council bylaws.

This Purchase Order (PO-2025-AKL-00487) is valid for a period of ninety (90) days from the date of issue. After this period, the Purchase Order shall lapse unless renewed in writing by both parties. All communications regarding this Purchase Order, including amendments to the scope of the Mechatronics Engineer engagement or changes to the New Zealand Auckland project site, must be made in writing and signed by an authorised representative of each party. This document constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations, and agreements relating to the Mechatronics Engineer services described.
