This Purchase Order is issued by Lagos Industrial Automation & Systems Ltd. to procure the professional services of a qualified Mechatronics Engineer, along with associated technical equipment and software licenses, for the design, integration, and commissioning of an automated production line at our manufacturing facility located in Nigeria Lagos. All physical equipment listed in this Purchase Order shall be delivered to the buyer's premises at 14 Adeola Odeku Street, Victoria Island, Nigeria Lagos, no later than 01 August 2025. The Mechatronics Engineer assigned to this contract shall be present on-site in Nigeria Lagos for a minimum of fourteen (14) consecutive working days commencing on the date of equipment delivery to perform installation, integration, and commissioning. The supplier shall bear all costs associated with inland logistics within Nigeria Lagos, including but not limited to vehicle transport, customs clearance at the Apapa port (if applicable for imported components), and insurance during transit.

Upon completion of commissioning, the buyer's technical team, in conjunction with the assigned Mechatronics Engineer, shall conduct a 72-hour continuous operational test. Acceptance shall be granted only when all performance parameters outlined in Annexure A are met. Any defects or non-conformities identified during this period shall be rectified by the Mechatronics Engineer at no additional cost to the buyer within five (5) working days.

7.1 This Purchase Order is governed by the laws of the Federal Republic of Nigeria. Any disputes arising from this Purchase Order shall be resolved through arbitration in Nigeria Lagos in accordance with the Arbitration and Conciliation Act, Cap A18, LFN 2004.

7.2 The Mechatronics Engineer and all supporting personnel engaged under this Purchase Order must hold valid professional registration with the Council for the Regulation of Engineering in Nigeria (COREN) and shall present their certificates on the first day of on-site work.

7.3 The supplier warrants that all equipment supplied is new, unused, and free from defects for a period of twelve (12) months from the date of final acceptance in Nigeria Lagos.

7.4 The buyer reserves the right to inspect the Mechatronics Engineer's work-in-progress at any time during the engagement. Failure to meet the agreed timeline shall attract a penalty of 0.5% of the total Purchase Order value per day of delay, capped at 10%.

7.5 All intellectual property, including PLC code, HMI screens, and system architecture developed by the Mechatronics Engineer under this Purchase Order, shall vest exclusively in the buyer upon full payment.

7.6 The supplier shall comply with all applicable Nigerian occupational health and safety regulations (NESREA, NIMASA) during the execution of this Purchase Order in Nigeria Lagos.
