This Purchase Order is issued by Al-Falah Industrial Solutions (Pvt.) Ltd., headquartered in Pakistan Islamabad, to engage the services of a qualified Mechatronics Engineer for the design, integration, commissioning, and ongoing maintenance of automated production line systems at the buyer's manufacturing facility located in the Industrial Estate, Pakistan Islamabad. The Mechatronics Engineer shall be responsible for the complete lifecycle management of electromechanical systems, including PLC programming, sensor calibration, robotic arm integration, and predictive maintenance scheduling.

The Mechatronics Engineer and the supplier team shall commence work at the buyer's facility in Pakistan Islamabad no later than 21 June 2025. The complete design and engineering phase (Item 01) shall be delivered within 45 calendar days. Installation and commissioning (Item 03) shall be completed within 30 days following design approval. The 12-month maintenance contract (Item 04) shall commence upon successful site acceptance testing. All deliverables under this Purchase Order must comply with the Pakistan Standards and Quality Control Authority (PSQCA) regulations and applicable industrial safety standards enforced in Pakistan Islamabad.
- Advance Payment: 25% of the net payable amount (PKR 2,531,100) shall be disbursed within 7 working days of signing this Purchase Order, via bank transfer to the supplier's account at National Bank of Pakistan, Pakistan Islamabad branch.
- Milestone Payment: 35% (PKR 3,543,540) upon completion and written acceptance of the design and engineering deliverables (Items 01 and 02).
- Commissioning Payment: 25% (PKR 2,531,100) upon successful site acceptance testing and handover of the commissioned system.
- Maintenance Retainer: The remaining 15% (PKR 1,518,660) shall be released in equal monthly installments of PKR 126,555 over the 12-month maintenance period, subject to satisfactory performance reports from the Mechatronics Engineer.
- All payments are subject to deduction of applicable withholding tax as per the Income Tax Ordinance 2001 of Pakistan.
- This Purchase Order constitutes a binding agreement between the Buyer and the Supplier upon countersignature by both parties. All disputes arising from this Purchase Order shall be resolved through arbitration in Pakistan Islamabad in accordance with the Arbitration Act, 1940 of Pakistan.
- The Mechatronics Engineer assigned to this project must hold a minimum of a Bachelor's degree in Mechatronics Engineering or a related discipline from a HEC-recognized university in Pakistan, and possess a minimum of 8 years of professional experience in industrial automation.
- The Supplier shall maintain comprehensive professional liability insurance with a minimum coverage of PKR 25,000,000, valid throughout the duration of this Purchase Order.
- Intellectual property developed specifically for the Buyer under this Purchase Order shall vest exclusively with Al-Falah Industrial Solutions (Pvt.) Ltd. The Mechatronics Engineer shall execute a non-disclosure agreement (NDA) prior to commencing any work.
- The Supplier shall comply with all labor laws, occupational health and safety regulations, and environmental directives applicable in Pakistan Islamabad and the broader Islamabad Capital Territory.
- Any modification to the scope, timeline, or pricing under this Purchase Order must be documented in a written change order signed by both parties. Verbal instructions shall not constitute a valid amendment.
- The Supplier shall provide a 12-month warranty on all mechatronic components and engineering work delivered under this Purchase Order, commencing from the date of site acceptance.
- Force majeure events, including but not limited to natural disasters, government-imposed lockdowns in Pakistan Islamabad, or national emergencies, shall extend the performance timeline proportionally without penalty to either party.
