The scope of work encompasses the design, integration, commissioning, and ongoing maintenance of mechatronic systems, including but not limited to robotic assembly lines, CNC-controlled machining centers, programmable logic controller (PLC) networks, industrial sensor arrays, and embedded control software platforms.

The Mechatronics Engineer engaged under this Purchase Order shall possess a minimum of eight (8) years of professional experience in mechatronic system design and industrial automation. The engineer must hold a recognized degree in Mechatronics, Mechanical Engineering, Electrical Engineering, or a closely related discipline, and must demonstrate proficiency in CAD/CAM software, SCADA systems, industrial robotics programming (ABB, KUKA, FANUC), and real-time embedded systems development. All work shall be performed in compliance with the technical standards and regulatory requirements applicable within Russia Saint Petersburg and the broader Russian Federation, including GOST standards and the Federal Law on Technical Regulation.

4.1 This Purchase Order is governed by the Civil Code of the Russian Federation and applicable commercial legislation in force in Russia Saint Petersburg. Any disputes arising from the interpretation or execution of this Purchase Order shall be resolved through arbitration at the Arbitration Court of Saint Petersburg and the Leningrad Region.

4.2 The Mechatronics Engineer assigned to this Purchase Order shall be subject to the Buyer's site safety protocols, access control procedures, and confidentiality agreements. The engineer shall not disclose proprietary manufacturing processes, design specifications, or trade secrets of the Buyer to any third party.

4.3 The Supplier guarantees that the Mechatronics Engineer shall be fully qualified, properly insured, and legally authorized to perform engineering services within the territory of Russia Saint Petersburg. The Supplier shall provide proof of professional liability insurance with a minimum coverage of 10,000,000 RUB prior to commencement of work.

4.4 Payment shall be made in Russian Rubles (RUB) via bank transfer to the Supplier's designated account. Invoicing shall follow a 30-day net payment cycle from the date of invoice receipt. The Buyer reserves the right to withhold payment for any deliverable that does not meet the acceptance criteria defined in Appendix A of this Purchase Order.

4.5 The commencement date for services under this Purchase Order shall be 1 July 2025, and the expected completion date shall be 31 December 2025, subject to mutual written agreement for any extensions. The Mechatronics Engineer shall report directly to the Buyer's Chief Technical Officer at the Saint Petersburg facility.

4.6 Force majeure events, including but not limited to natural disasters, government sanctions, or civil unrest affecting Russia Saint Petersburg, shall suspend obligations under this Purchase Order for the duration of the event, provided written notice is given within five (5) business days.

4.7 This Purchase Order may be amended only by a written addendum signed by authorized representatives of both parties. No oral modifications shall be binding.

By signing below, both parties acknowledge and agree to all terms, conditions, and specifications set forth in this Purchase Order for the engagement of a Mechatronics Engineer in Russia Saint Petersburg.

This Purchase Order document is issued in two (2) original copies, one for each party. Electronic copies bearing qualified digital signatures in accordance with Federal Law No. 63-FZ shall carry equal legal validity. Document reference: PO-RSP-2025-04782.
